1. Content & Promotional Guidelines:•Affiliate may utilize content provided by Daily Burn solely as necessary to fulfill its obligations hereunder. •Daily Burn will provide approved logos, images, and promotional materials for affiliate use.•Daily Burn owns all intellectual property rights in and to all Daily Burn trademarks, logos, names, tag lines, etc. Affiliate’s sole right is a limited revocable license to use the Daily Burn content as set forth herein.•Any personally created promotional content must be submitted to Daily Burn for approval before being used.•Ad copy used by affiliates should not be deceptive and must accurately and truthfully represent Daily Burn and its offerings. Ad copy must not contain misspellings, incorrect grammar, or make false or misleading statements.•Affiliates must disclose their relationship with Daily Burn when promoting the service and must comply at all times with FTC and other applicable regulatory guidelines.•Affiliate agrees to comply with all applicable laws and regulations in the performance of its duties hereunder.2. Negative Matching and Protected Keywords: Affiliates are required to use negative matching in their search campaigns to ensure their ads do not appear for branded or protected terms associated with Daily Burn.3. Payment: All earned commissions will be paid via ShareASale.4. Prohibited Activities and Content:•Affiliates are prohibited from promoting Daily Burn on sites with political, violent, hate language, or any content deemed inappropriate by Daily Burn.•Loyalty affiliates are prohibited. Additionally, Affiliates are prohibited from engaging in incentivized traffic schemes. Affiliate shall not engage in any practice to artificially inflate signups or that would reasonably result in a significant number of fraudulent or improper leads.•Utilizing sub-affiliates is prohibited without explicit approval from Daily Burn.•Engaging in "ponzi", pyramid, or similar investment schemes, and promoting tobacco, alcohol, or gambling is prohibited.•Any form of SEM that involves Daily Burn trademark, variations, or related keywords is prohibited.•Using the Daily Burn trademark in domain names, hidden text, source codes, meta tags, usernames, app names, etc., is prohibited.•Affiliates may only use coupons and promotional codes provided exclusively through the Daily Burn affiliate program.Termination Rights: Daily Burn reserves the right to remove any affiliate from the program at any time for any reason without prior notice.5. Tracking & Reporting: Affiliates must report any discrepancies in tracking within 30 days of the occurrence. Daily Burn is not liable for any tracking discrepancies reported after this period.6. Negative Carryover & Chargebacks: In the event of chargebacks or refunds, the corresponding commissions will be deducted from the affiliate's account. No negative carryover will apply. Negative balances will be reset to zero at the beginning of each month.________________________________________Affiliate will defend, indemnify and hold harmless Daily Burn (including its officers, directors, employees and agents) from and against damages, liabilities, costs and expenses including, without limitation, reasonable attorneys’ fees and costs, arising out of or related to (i) Affiliate’s breach of any of Affiliate’s representations, warranties or convents in this Agreement; (ii) Affiliate’s practices with respect to customers or third parties of Affiliate.________________________________________The relationship between Company and Affiliate is that of independent contracting parties. Neither party has any express or implied right or authority to assume or create any obligations on behalf of or in the name of the other party.This Agreement shall be governed by the laws of the State of Delaware, without regard to principles of conflicts of laws. With respect to any dispute arising out of or relating to this Agreement, the parties consent to the exclusive jurisdiction of the state or federal courts located in Wilmington, Delaware. Daily Burn retains the right to update or modify these terms at any time.
