Hug Letters Affiliate Program Agreement
This Agreement describes the terms and conditions for participation in the Hug Letters Affiliate Program available through ShareASale. By signing up for and participating in this program, you (the "Affiliate") agree to be bound by the following terms:
1. Acceptance: Upon signing up for the Hug Letters Affiliate Program, all Affiliates must be approved by Hug Letters. We reserve the right to decline or remove enrollment of any Affiliate at our sole discretion, at any time.
2. Compliance with ShareASale: Affiliates are bound by the ShareASale Terms of Use in addition to this Agreement.
3. Prohibited Activities:
a. Affiliates may not engage in the use of unsolicited bulk email (spam) to promote Hug Letters.
b. Affiliates are prohibited from promoting Hug Letters on websites that contain or promote illegal activities, hate speech, or discriminatory content.
c. Affiliates may not misrepresent Hug Letters or its products or services.
d. Any usage of the Hug Letters brand in false advertising, misleading claims, or unauthorized coupon codes is strictly prohibited.
4. Commission Rates: Affiliates will receive a commission for each sale referred as per the rates defined in the Affiliate dashboard. Rates are subject to change, but Affiliates will be notified of any changes in advance.
5. Payment: Payments to Affiliates will be made through ShareASale according to their standard payment schedule.
6. Termination: If an Affiliate violates any of the terms of this Agreement or the ShareASale Terms of Use, their participation in the Hug Letters Affiliate Program will be terminated immediately, and any pending commissions will be forfeited.
7. Modification: Hug Letters reserves the right to update or modify this Agreement at any time. Changes will be effective immediately upon posting to our website. Affiliates will be notified of any significant changes, but it remains the responsibility of the Affiliate to review the Agreement periodically.
8. Liability: Hug Letters will not be liable for any indirect or accidental damages (revenue loss, commissions) due to Affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
9. Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware. Any disputes or claims arising from this Agreement will be resolved in the courts of the State of Delaware.
10. PPC Restrictions:
a. Affiliates are prohibited from bidding on Hug Letters brand terms, derivatives or misspellings in Pay-Per-Click campaigns on search engines.
b. Affiliates must not use the Hug Letters website or brand name as display URL in PPC ads.
c. Direct linking to Hug Letters from PPC campaigns without prior permission is forbidden.
By participating in the Hug Letters Affiliate Program, you acknowledge that you have read this Agreement and agree to all its terms and conditions.
