This Affiliate Agreement (the "Agreement") is made and entered into as of 21-Sep-2023 by and between Under Your Skin US LLC ("Under Your Skin") and [AFFILIATE NAME] ("Affiliate").
1. Program Overview
Under Your Skin operates an affiliate program (the "Program") that allows Affiliates to earn commissions by promoting Under Your Skin products and services on their websites and through other online channels.
2. Affiliate Obligations
To be eligible to participate in the Program, Affiliate must:
Be a resident of the United States.
Be at least 18 years old.
Have a valid website or other online channel.
Complete and submit an Affiliate application.
Agree to the terms and conditions of this Agreement.
Once Affiliate is approved into the Program, Affiliate will be given a unique affiliate link. Affiliate must use this link to promote Under Your Skin products and services on their website or other online channel.
Affiliate is prohibited from engaging in the following activities:
Using misleading or deceptive marketing practices to promote Under Your Skin products and services.
Promoting Under Your Skin products and services on websites or other online channels that contain illegal or offensive content.
Using spam or unsolicited email to promote Under Your Skin products and services.
Bidding on Under Your Skin trademarks or keywords in search engines or other online advertising platforms.
3. Under Your Skin Obligations
Under Your Skin agrees to provide Affiliate with the following:
A unique affiliate link that Affiliate can use to promote Under Your Skin products and services.
Access to the Under Your Skin Affiliate Dashboard, where Affiliate can track their performance and earnings.
Commissions on sales generated through Affiliate's unique affiliate link.
4. Commissions
Affiliate will earn a commission of 15% on all sales generated through their unique affiliate link. Commissions will be paid out on a monthly basis, within 30 days of the end of the month in which the sale was made.
5. Term and Termination
This Agreement shall commence on the date first written above and shall continue in effect until terminated by either party upon 30 days' written notice to the other party.
Either party may terminate this Agreement immediately upon written notice to the other party if the other party breaches any of the terms of this Agreement.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
9. Waiver
No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
10. Notices
All notices and other communications under this Agreement shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

or to such other address as either party may designate in writing from time to time.
11. Headings
The headings in this Agreement are for convenience only and shall not affect its interpretation.
12. Counterparts
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
