This Affiliate Program Agreement (the "Agreement") is entered into between Care Tucker (referred to as "Company") and the affiliate (referred to as "Affiliate") participating in the Company's affiliate program (the "Program").
1. Enrollment in the Program
1.1. To become an Affiliate, the individual or entity must complete the application process on the Company's website and agree to the terms and conditions set forth in this Agreement.
1.2. The Company reserves the right to accept or reject any application at its sole discretion.
2. Affiliate Responsibilities
2.1. The Affiliate agrees to promote the Company's products or services using the provided affiliate links, banners, or other promotional materials.
2.2. The Affiliate will not engage in any illegal, deceptive, or unethical practices while promoting the Company's products or services.
2.3. The Affiliate will be solely responsible for the development, operation, and maintenance of their website or marketing channels.
2.4. The Affiliate will not make any false or misleading claims about the Company's products or services.
3. Commission and Payment
3.1. The Company agrees to pay the Affiliate a commission for each qualified sale or action generated through their unique affiliate link.
3.2. The commission rate and payment terms will be outlined in a separate commission schedule provided to the Affiliate.
3.3. The Company reserves the right to modify the commission rate and payment terms upon providing written notice to the Affiliate.
4. Tracking and Reporting
4.1. The tracking and reporting will be provided in a separate location for the Affiliate to review.
5. Termination
5.1. Either party may terminate this Agreement at any time for any reason by providing written notice to the other party.
5.2. Upon termination, the Affiliate will no longer be eligible to earn commissions for any sales or actions generated after the termination date.
6. Confidentiality
6.1. The Affiliate agrees to keep all confidential information received from the Company, including but not limited to customer data, commission rates, and marketing strategies, confidential and not disclose it to any third party without the Company's prior written consent.
7. Limitation of Liability
7.1. The Company will not be liable for any indirect, special, or consequential damages arising out of or in connection with this Agreement or the Program.
7.2. The Company's total liability under this Agreement will not exceed the total commissions paid or payable to the Affiliate under this Agreement.
8. Governing Law and Jurisdiction
8.1. This Agreement will be governed by and construed in accordance with the laws of [California].
8.2. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of [California], County of Los Angeles.
By enrolling in the Program, the Affiliate acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement.
