Affiliate Agreement
Enrollment in the Program
1.1 Affiliate must apply and be approved by Merchant to become an affiliate.
1.2 Merchant reserves the right to reject any affiliate application for any reason.
Affiliate Responsibilities
2.1 Affiliate agrees to comply with all laws, regulations, and ShareASale policies.
2.2 Affiliate will only use ethical methods to promote Merchant's products or services.
2.3 Affiliate will not engage in any deceptive, misleading, or unethical marketing practices.
2.4 Affiliate will not use any illegal or unauthorized means to obtain commissions.
2.5 Affiliate will not make any health claims about the product.
Promotion of Merchant's Products
3.1 Affiliate will promote Merchant's products or services using the provided affiliate links and promotional materials.
3.2 Affiliate will not alter or modify any affiliate links or promotional materials without prior approval from Merchant.
Commissions
4.1 Merchant will pay commissions to Affiliate for qualifying sales generated through Affiliate's unique affiliate links.
4.2 Commission rates and payment terms will be outlined in ShareASale and may be updated by Merchant at any time.
4.3 Merchant reserves the right to reverse commissions for fraudulent or invalid sales.
Termination
5.1 Either party may terminate this Agreement at any time for any reason.
5.2 Upon termination, Affiliate must immediately cease all promotion of Merchant's products and remove all affiliate links and materials.
Limitation of Liability
6.1 Merchant will not be liable for any indirect, special, or consequential damages arising out of or related to this Agreement.
6.2 Merchant's total liability under this Agreement will not exceed the total commissions paid to Affiliate during the preceding six (6) months.
Indemnification
7.1 Affiliate agrees to indemnify, defend, and hold harmless Merchant and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to Affiliate's breach of this Agreement or violation of any law or third-party rights.
Confidentiality
8.1 Affiliate agrees to keep confidential all information provided by Merchant, including but not limited to business plans, financial information, customer lists, and marketing strategies. Affiliate will not disclose this information to any third party without the prior written consent of Merchant.
Miscellaneous
9.1 This Agreement constitutes the entire agreement between Merchant and Affiliate and supersedes all prior agreements and understandings.
9.2 This Agreement may be amended or modified by Merchant at any time, with notice to Affiliate.
9.3 This Agreement will be governed by and construed in accordance with the laws of California.
