At Saludi Glassware, our goal is to make working with us as as easy as possible. Our terms of service are no different. While this is a legal document and contains the terms and conditions that apply to an individual’s or entity’s participation in our Referral Affiliate Marketing Program, we think you should easily be able to see and find what’s covered in our terms of service, as outlined below:
Overview
This section lays out the ground work for these terms.
Your participation in the Services constitutes consent and authorization for our access to, receipt, storage, use, and disclosure of any and all information, consistent with these Terms and the Privacy Policy of the Saludi Glassware Site.
Enrollment in the Affiliate Program
To be considered for participation in the Services, apply directly to our program through ShareASale (Merchant ID: 146518). Once submitted, we will evaluate your application and notify you if we have accepted or rejected your submission. You may be declined from the program if your website content is unrelated to the industry, features inappropriate content, is coupon/loyalty focused, and/or your listed URL is invalid. However, we encourage you to contact us if you feel we have made an incorrect decision.
Promotional Guidelines
If accepted in the Affiliate Program, we will provide you with our guidelines to use in linking to the Saludi Site. We ask that you use the available text links and banners in the network interface, as they feature the most up to date content. For accurate tracking, reporting, and commission accrual, the network will provide you with special “tagged” link formats to be used in all links between Your Site and the Saludi Site (“Special Link(s)”). Your content should only be featured on the URL’s listed on your affiliate profile. Special Links to the Saludi Site must be in proper link formats, not be blocked or hidden by any means. Please be aware that the Special Links may not work properly if you have used methods to conceal our links from search engines and robots.
Promotion on social media platforms is permitted, and you’re welcome to use your Special Links on your own Facebook, Twitter, etc. pages. If you have any questions about promotional content or would like to request a custom landing page, contact us directly.
Acknowledgments
While participating in the Affiliate Program, you acknowledge and agree that you will:
-Not block or otherwise interfere with any monitoring we implement and that we may use technical means to overcome any methods used on Your Site to block or interfere with such monitoring.
-Not display or reference on Your Site, any trademark or logo of any competitive third-party seller.
-Use any intellectual property or other information (“Content”) obtained by you from us in a with these Terms and in a lawful manner.
-Not render invisible, modify or alter any Content other than to resize it, provided that such resized Content remains legible and identifiable.
-Not sell, redistribute, sublicense or transfer any Content.
-Not use any Content in a manner intended to send sales to any site other than the Saludi Site.
-Promptly delete any Content that is no longer displayed on the Saludi Site or that we notify you is no longer available for your use.
-Not use any Content in a manner that implies our endorsement or sponsorship of, or association with, any product, service, party or cause not approved by us.
-Not directly or indirectly offer any person or entity any consideration or incentive for using Special Links on Your Site to access the Saludi Site.
-Not lead, intercept, record, redirect, interpret, or fill in the contents of any electronic form or other materials submitted to us by any person or entity unless authorized by the submitting person to do so.
-Not in any way modify, redirect, suppress, or substitute the operation of any button, link, or other interactive feature of the Saludi Site.
-Not take any action that could reasonably cause any customer confusion as to our relationship with you, or as to the site on which any functions or transactions are occurring.
-Not post or serve any advertisements or promotional content promoting the Saludi Site without our permission.
Order Processing
We will process orders for Services placed by customers who follow Special Links from Your Site to the Saludi Site (“Order(s)”). We reserve the right to reject Orders that do not comply with any requirements that we currently have or may establish. We will be responsible for all aspects of processing and fulfillment of Orders, which includes but is not limited to: order forms, payment processing, cancellations, returns, and customer service. We will track Orders made by customers using Special Links from Your Site. While we will make available to you reports that summarize Orders, the form, content, and frequency of such reports may vary from time to time and in our discretion.
Referral Fees
We will pay you a referral fee (“Referral Fee”) for each Completed Order, unless we have arranged for a different pricing, discount, and/or service arrangement with you. A “Completed Order” means our receipt of successful payment for an Order.
To permit accurate tracking, reporting and fee accrual, you must ensure that the Special Links between Your Site and the Saludi Site are properly formatted. We will not pay Referral Fees on any Orders that are not correctly tracked and reported because the links between Your Site and the Saludi Site are not properly formatted.
Your own Completed Orders will be eligible for Referral Fees provided that you are actively promoting and referring customers to the Saludi site.
Pay-Per-Click (PPC)
Trademark/Trademark+ bidding is not allowed. We do not allow pay per click advertising of our Saludi Site, brand names, domain names, misspellings, or any variations of these. If you desire to use pay per click advertising, it needs to be on generic keywords. You may not bid on any of our trademarked terms (e.g. Saludi) or any other of our trademarked terms + terms such as coupon, discount, promo code, etc. We suggest adding our trademarked terms as negative keywords.
Referral Fee Payment
Referral Fees will be paid out on a monthly basis for all confirmed Completed Orders from the prior calendar month. Payouts will occur within approximately 10-30 days following the end of the calendar month in which a Completed Order occurred. Within the ShareASale platform, you may alter your payment settings (direct deposit, check, etc.) to fit your preference. We are obligated by U.S. federal law to obtain tax information from all Affiliate Program participants. We may withhold your Referral Fee payments until you provide requested information or satisfactory proof that you are not a person from whom we are required to obtain tax information. In the event that a Completed Order is refunded due to no fault of ours, we reserve the right to offset such refunded fees against any future payments of Referral Fees.
We also reserve the right to reverse Referral Fee payments due to canceled services, tracking issues, fraudulent/disputed charges, and/or any other violation of these Terms or our Services. If a referral cancels service for any reason within the first 90 days, Referral Fee payments will be reversed.
Policies and Pricing
All customers that buy products through the Affiliate Program will be deemed to be our customers. All of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. Any client that signs up directly for our services is our client.
If you choose to display prices for any of our products on Your Site in any “comparison” format (including through the use of any price-comparison tool or engine) together with prices for the same or similar products offered through any web site or other outlet other than the Saludi Site, you must display the lowest price we provide to you.
You may not contact any of our current clients to try to get them to switch to you at a later date. If they were your incorporation client, and you are maintaining their records each year, you must abide by our cancellation terms on behalf of the client. If you are not responsible for paying the renewal fees each year, you may not try to re-obtain the client as your registered agent client at a later date if you are collecting Referral Fees from us. We are basically providing the service to your clients at a loss with a referral fee, and hoping they renew the next year at a full rate.
Identifying Yourself as an Affiliate
You may issue a press release with respect to your participation in the Affiliate Program. We will make available to you a small graphic image that identifies Your Site as an Affiliate Program participant. You must display this logo or the phrase “A Northwest Registered Agent affiliate” somewhere on Your Site. You may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any third-party except as expressly permitted by these Terms.
Limited License
To assist in generating product sales, we grant you a nonexclusive, revocable right to use any trademark, graphic image and text we provide to you for the purpose of identifying Your Site as an Affiliate Program participant. You may not use any supplied trademarks, images or text in an offline promotion or other offline manner (e.g., in any printed material, mailing or other document). You may not modify any supplied trademark, graphic image, text, or any other image in any way. We reserve all of our rights in our trademarks, copyrights, trade names and all other intellectual property rights. We may revoke your license at any time and for any reason by giving you written notice.
Responsibility for Your Site
You will be solely responsible for the development, operation, and maintenance of Your Site and for all materials that appear on Your Site. This includes: the technical operation of Your Site, ensuring the display of Special Links on Your Site does not violate any agreement between you and any third-party, the accuracy and appropriateness of materials posted on Your Site (including any information associated with the Special Links), ensuring that materials posted on Your Site do not violate or infringe upon the rights of any third-party, either through a privacy policy or otherwise display how you collect, use, store, and disclose data collected from visitors.
We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys’ fees) relating to the development, operation, maintenance, and contents of Your Site.
Compliance with Laws
As a condition to your participation in the Affiliate Program, you agree that you will comply with all applicable laws, including without limitation laws that govern marketing email, the CAN-SPAM Act of 2003 and all other anti-spam laws.
Termination
Either you or we may terminate this participation in the Affiliate Program at any time, with or without cause, by giving the other party written notice of termination. Upon notice of termination you will immediately cease use of, and remove from Your Site, all links to the Saludi Site and Content. Any Referral Fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. We may withhold a final payment for a reasonable time to ensure that the correct amount is paid.
Modification
We may modify these Terms at any time and in our sole discretion. If any modification is unacceptable to you, your only recourse is to discontinue participating in the Affiliate Program. Your continued participation in our program after we post changes in these Terms will constitute binding acceptance of the change.
Relationship of Parties
All parties are independent contractors. Nothing in these Terms or participation in the Affiliate Program will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or otherwise, that reasonably would contradict anything in these Terms.
Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with these Terms or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to these Terms or the Affiliate Program will not exceed the total Referral Fees paid or payable to you within a 12 month period as a participant in the Affiliate Program.
Disclaimers
We make no express or implied warranties or representations with respect to the Affiliate Program or any Services sold through the Affiliate Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the Saludi Site will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors.
Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH THESE TERMS.
FTC Disclosure
The Federal Trade Commission requires you to include a disclosure statement within content where affiliate links are posted.
