AFFILIATE PROGRAM AGREEMENTThis Affiliate Program Agreement ("Agreement") is entered into by and between HK FOUR IN ONE CO LIMITED, hereinafter referred to as the "Company", and the participating "Affiliate".PREAMBLEThe company is engaged in the business of selling clothing and accessories. An affiliate is an individual with a significant social media following on Instagram and TikTok and has the ability to promote and endorse the Brand's products. The brand desires to engage the Affiliate to promote and endorse the Brand's products on social media, and the Affiliate is willing to do so, subject to the terms and conditions set forth herein. While affiliate networks may possess broad terms of use encompassing diverse topics, this Agreement intends to set forth specific guidelines tailored to the Company's program, capturing the mutual interests of both the Company and its Affiliates.For clarity and alignment on rights, responsibilities, and expected conduct, this Agreement outlines these essential details. Both parties are encouraged to seek independent legal counsel before engaging under the terms of this Agreement.AGREEMENT1. Services. An affiliate shall provide the following services to the Brand: • Promote and endorse Brand's products on social media platforms, including but not limited to Instagram and TikTok. • The content of the posts shall be in accordance with the guidelines provided by the Brand. • Include appropriate hashtags and tags as provided by the Brand. 2. Scope: This Agreement establishes the terms and conditions governing the partnership between the Company and its Affiliates, specifying the permissible and prohibited methods within the program.3. Binding Agreement: While general affiliate network terms might exist, this Agreement serves as the primary guideline governing the relationship between the Company and its Affiliates.4. Methods and Practices: Affiliates must adhere to the methodologies and practices stated within this Agreement, ensuring promotional techniques align with Company-specific guidelines.5. Representations and Warranties. Affiliates represent and warrant that: • They have the necessary authority to enter into this Agreement. • They will comply with all applicable laws and regulations in the performance of the services under this Agreement. • They will not infringe any third-party rights, including but not limited to intellectual property rights while performing the services under this Agreement. • They will not use any false or misleading statements or engage in any deceptive practices in connection with the services under this Agreement.6. Confidentiality. All affiliates shall keep confidential any confidential information of the Brand and shall not disclose such information to any third party. 7. Ownership. All affiliates acknowledge that the Brand is the sole owner of all intellectual property rights in the products, including without limitation, any trademarks, trade dress, patents, copyrights, or trade secrets.8. Indemnification. All affiliates shall indemnify and hold harmless Brand from any claims, damages, liabilities, costs, and expenses arising out of or in connection with any breach of this Agreement or any act or omission by affiliates.9. Governing Law. This Agreement will be subject to and interpreted in accordance with the laws of the State of Georgia. 10. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, regarding the subject matter herein.
