AFFILIATE AGREEMENT
This Affiliate Agreement (the "Agreement") is entered into on July 18, 2025 by and between:

Hereinafter referred to as "Merchant" or “Company.”
AND
Affiliate
Hereinafter referred to as "Affiliate."
Collectively referred to as the "Parties."
WHEREAS, Merchant is engaged in the business of selling kitchen appliances, home appliances, and more as detailed on the Merchant's website.
WHEREAS, Affiliate desires to promote Merchant's products or services on their own platform(s) in exchange for commissions.
NOW, THEREFORE, in consideration of the promises and covenants contained herein, the Parties hereby agree as follows:
1. Appointment
1.1 Appointment as Affiliate: Merchant appoints Affiliate as an independent contractor for the purpose of promoting and advertising Merchant's products or services, as described on the Merchant's website through the third-party Awin affiliate program.
2. Commissions and Payments
2.1 Commissions: Merchant agrees to pay Affiliate a commission on sales generated through Affiliate's marketing efforts in accordance with the desired commission the Merchant grants to the Affiliate, subject to change at any time.
2.2 Payment: Commissions will be paid through Awin's platform to the Affiliate. Minimum payment thresholds may apply.
2.3 Taxes: Affiliate is responsible for any taxes associated with their commission income and will provide Merchant with necessary tax documentation if required by law.
3. Promotion and Marketing
3.1 Compliance: Affiliate agrees to comply with all applicable laws, regulations, and industry standards related to advertising, marketing, and the promotion of Merchant's products or services.
3.2 Coupon/Deal: Affiliate agrees to only promote coupon codes and promotions listed on Awin. Any transactions with a coupon code not uploaded to Awin will be voided.
3.3 Marketing Materials: Merchant will provide Affiliate with necessary marketing materials, including banners, text links, and other promotional content.
3.4 Branding: Affiliate shall not alter, modify, or misrepresent Merchant's brand, products, or services in any way.
3.5 FTC Disclosure: Affiliate must comply with FTC disclosure requirements and notate “Disclosure: Compensated Affiliate.”
4. Term and Termination
4.1 Term: This Agreement shall commence on the Effective Date and continue until terminated by either Party.
4.2 Termination: Either Party may terminate this Agreement for cause (e.g., violation of terms, non-performance) without written notice. Merchant may also terminate without cause at any time without notice.
5. Confidentiality
5.1 Confidential Information: Both Parties agree to keep any confidential information, including customer data, business strategies, and trade secrets, confidential during the term of this Agreement and beyond.
6. Miscellaneous
6.1 Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements and understandings, whether oral or written.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
