1. Introduction
This Agreement identifies the parties involved in the affiliate relationship and outlines the terms and conditions under which the affiliate will promote Scribble's products and/or services.
2. Terms and Conditions
The following terms and conditions apply to the affiliate's relationship with Scribble:
- The affiliate will promote Scribble's products and/or services through the ShareASale affiliate platform.
- The affiliate will receive a commission on sales generated through their efforts according to the commission structure outlined in their ShareASale account.
- This Agreement will be in effect for [duration] unless terminated earlier.
- Affiliate sales are only valid for orders placed in the United States.
- The affiliate is responsible for complying with all laws and regulations related to their promotional activities.
3. Obligations of the Affiliate
The affiliate will:
- Promote Scribble's products and/or services in a professional and ethical manner.
- Use only approved marketing materials provided by Scribble.
- Provide accurate and timely reports on their sales activity to ShareASale.
- Not engage in brand bidding activities using Scribble's trademarks, company name, domain names, and any misspellings.
- Comply with Scribble's coupon policy, which includes restrictions on coupon distribution and consequences for violating coupon policies.
3.5 Coupon Policy
The affiliate will comply with Scribble's coupon policy, which includes the following:
1. Coupon Codes: Affiliates may only promote coupon codes that are provided to them by Scribble. Affiliates may not promote coupon codes that are not provided by Scribble, unless prior written approval is obtained from Scribble.
2. Commission on Sales with Coupons: The commission on sales generated through the use of a coupon code may be less than sales generated without the use of a coupon code.
3. Restrictions on Coupon Distribution: Affiliates may only distribute coupons through channels approved by Scribble. Coupon distribution through unauthorized channels may result in the termination of the affiliate agreement.
4. Consequences for Violating Coupon Policies: Violation of Scribble's coupon policy may result in the termination of the affiliate agreement, as well as forfeiture of all commissions earned through the use of unauthorized coupons.
4. Obligations of Scribble
Scribble will:
- Provide the affiliate with necessary marketing materials and support.
- Pay commissions in a timely manner according to the payment schedule outlined in the affiliate's ShareASale account.
- Protect the affiliate's personal information.
5. Termination
This Agreement may be terminated by either party for any reason upon 7 days' written notice. Scribble may terminate this Agreement immediately if the affiliate breaches any material term or condition of this Agreement or engages in any activities that are illegal or harmful to Scribble.
6. Miscellaneous
This Agreement shall be governed by and construed in accordance with the laws of [state/country]. Any disputes arising out of or in connection with this Agreement shall be resolved by binding arbitration in accordance with the rules and procedures of ShareASale.
