This duet Affiliate Program Agreement ("Agreement") is made between duet ("Brand") and the individual or entity participating in the duet affiliate program ("Affiliate").
1. Program Description:
The duet affiliate program is designed to allow Affiliates to promote duet products and earn commissions for successful conversions.
2. Commission Structure:
Affiliates will earn a commission on the net sales amount for each successful conversion made through their unique referral link.
3. Cookie Duration:
The duet affiliate program provides a cookie duration of 30 days. If a user clicks on an Affiliate's referral link and makes a purchase within 30 days, the sale will be attributed to the Affiliate.
4. Termination Clause:
duet reserves the right to approve or reject any Affiliate Program Registration at its sole and absolute discretion. Affiliates acknowledge that they will have no legal recourse against duet for the rejection of their Affiliate Program Registration.
5. Affiliate Responsibilities:
a. Affiliates shall comply with all applicable laws and regulations while promoting duet products.
b. Affiliates must not engage in any unethical or misleading marketing practices, including but not limited to spamming or false advertising.
c. Affiliates are responsible for ensuring the accuracy of their account information and payment details.
6. Brand Responsibilities:
a. duet will provide Affiliates with access to marketing materials, including banners, images, and text links, to facilitate promotional activities.
b. duet will track and calculate commissions for successful conversions accurately.
c. duet will make reasonable efforts to provide timely commission payouts to Affiliates.
7. Prohibited Activities:
a. Affiliates are strictly prohibited from using any form of illegal, deceptive, or inappropriate marketing methods to promote duet products.
8. Trademark and Brand Usage:
Affiliates are allowed to use duet's brand name, logo, and other marketing assets solely for the purpose of promoting duet products and the affiliate program. Any usage beyond this scope requires written consent from duet.
9. Confidentiality:
Both parties agree to keep all non-public information exchanged during the course of the affiliate program confidential and not disclose it to third parties without prior written consent.
10. Liability and Indemnification:
a. Affiliates will be solely responsible for any claims, damages, or liabilities arising from their promotional activities.
b. Affiliates agree to indemnify and hold duet harmless from any claims, losses, damages, or expenses (including legal fees) related to the Affiliate's breach of this Agreement.
11. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State/Region], without regard to its conflict of law principles.
12. Modification Clause:
duet reserves the right to modify this Agreement at any time. Changes will be communicated to Affiliates through the email associated with their affiliate account. Continued participation in the program after such changes will constitute acceptance of the modified Agreement.
By participating in the duet affiliate program, the Affiliate agrees to the terms and conditions set forth in this Agreement.
