This Affiliate Agreement ("Agreement") is entered into by and between WeNatal ("Company"), and the individual or entity participating in the WeNatal affiliate program ("Affiliate"). This Agreement outlines the terms and conditions under which Affiliate will promote Company's products and earn commissions for referred sales.
Affiliate Program Participation:
1.1. Application and Acceptance: Affiliate must apply to join the WeNatal affiliate program through the Company's designated application process. The Company reserves the right to accept or reject any application at its discretion.
1.2. Compliance: Affiliate agrees to comply with all applicable laws, regulations, and ethical guidelines while promoting Company's products. Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices.
Promotion and Commissions
2.1. Promotion: Affiliate will promote Company's products using affiliate links, banners, and other promotional materials provided by the Company. Affiliate is solely responsible for the content and method of promotion. Affiliate will not bid on brand search terms or distribute affiliate links in domains that have compromised traffic sources.
2.2. Commissions: Affiliate will earn a commission on new sales generated through their unique affiliate links. Commissions will be paid according to the commission structure outlined in point 2.4 below, attached hereto and incorporated by reference.
2.3. Tracking: The Company will track sales and commissions using its affiliate tracking system. Affiliate is responsible for ensuring that their affiliate links are properly formatted and functioning. Affiliate is responsible for ensuring that the tracking link doesn't appear in places that compromise the integrity of the program and are prone to generating fraudulent clicks/transactions.
2.4. Payment: Commissions will be paid on the 20th of each month, subject to a minimum payout threshold of $100. Payments will be made via ACH direct deposit to the Affiliate's designated payment account. The Company reserves the right to change the payment schedule and threshold with prior notice to Affiliate.
Termination
3.1. Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term or condition of this Agreement.
3.2. Voluntary Termination: Affiliate may voluntarily terminate participation in the Affiliate Program by providing written notice to the Company. Termination will be effective upon receipt of the notice.
Confidentiality
4.1. Affiliate agrees to keep confidential all non-public information, including but not limited to sales data, customer information, and marketing strategies, obtained through participation in the affiliate program.
Intellectual Property
5.1. The Company grants Affiliate a limited, non-exclusive, revocable license to use Company-provided promotional materials and trademarks solely for the purpose of promoting Company's products.
