ASSET RELEASE FORM - FOR INFLUENCER AFFILIATES ONLY
In exchange for [15% of Sales] and other good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I, hereby irrevocably grant and authorize Tracie Martyn International, LLC, Tracie Martyn Inc. and its affiliates, successors, licensees, agents and assigns (“Authorized Persons”) the rights to take, edit, alter, copy, creative derivative works, exhibit, publish, distribute and make use and permits others to use of any and all pictures or video taken of me to be used in and/or for any lawful promotional materials including, but not limited to, newsletters, flyers, posters, brochures, advertisements, fundraising letters, annual reports, press kits and submissions to journalists, websites, social networking sites and other print and digital communications, without payment or any other consideration (the “Recording”). I agree that the Authorized Persons are and will be the sole and exclusive owners of all right, title and interest in and to the Recording, including all copyrights and other intellectual property rights therein, in perpetuity throughout the universe.
This authorization shall continue indefinitely and extends to all languages, media, formats and markets now known or later discovered.
I waive the right to inspect or approve any finished product in which my likeness appears, including written or electronic copy.
I agree that I have been compensated for this use of my likeness and I waive any right to royalties or other compensation arising or related to the use of the Recording.
I understand and agree that these materials shall become the property of the Authorized Persons and will not be returned.
To the fullest extent permitted by applicable law, I hereby irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expenses, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy, violation of rights of publicity, physical or emotional injury or distress, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world (collectively, "Claims") arising directly or indirectly from the production, exhibition, promotion, exploitation of the Recording, and whether resulting in whole or in part by the negligence of the Authorized Persons, and covenant not to make or bring any such Claim against any Authorized Persons and their agents, employees, and representatives, and forever release and discharge the Authorized Persons from liability under such Claims.I represent and warrant to the Authorized Persons that I am at least eighteen (18) years of age, and I have full right, power, and authority to enter into this agreement and grant the rights hereunder. If any term or provision of this agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. This agreement shall be binding on and shall inure to my benefit and the benefit of the Authorized Persons and our respective heirs, executors, administrators, legal representatives, successors, and permitted assigns. All matters arising out of or relating to this agreement shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction). Any claim or cause of action arising under this agreement may be brought in the federal and state courts located in New York, and I hereby irrevocably consent to the jurisdiction of such courts.
