AFFILIATE AGREEMENT

This is a legal agreement between you and Verden Ltd. (DBA Verden.world). By submitting the online application, you agree that you have read and understand the terms and conditions of this Agreement and that you agree to be legally responsible for each and every term and condition.
1. Overview
This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Verden.world's Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and the Verden.world website.
Throughout this Agreement:
"We," "us," and "our" refer to Verden.world.
"You," "your," and "yours" refer to the affiliate.
2. Affiliate Obligations
2.1 Enrollment
To begin the enrollment process, you must complete and submit the online application at the ShareASale.com server. Although applications may be auto-approved, Verden.world reserves the right to re-evaluate and reject any application at its sole discretion, including if your site:
Promotes sexually explicit materials.
Promotes violence.
Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Promotes illegal activities.
Infringes on copyright, trademark, or other intellectual property rights.
Includes "Verden" or variations/misspellings thereof in its domain name.
Is otherwise unlawful, harmful, threatening, defamatory, obscene, harassing, or objectionable.
Contains software downloads that divert affiliate commissions.
Resembles the Verden.world website or misleads customers into thinking it is Verden.world.
2.2 Affiliate Account Access
As a member, you will have access to the Affiliate Account Manager to:
Review program details and newsletters.
Download HTML code for links and banner creatives.
Obtain tracking codes for coupons and deals.
You must use the provided HTML code to ensure accurate tracking of guest visits.
2.3 Link Placement
Verden.world reserves the right to review your link placements and require changes to comply with guidelines.
2.4 Site Maintenance
You are responsible for maintaining and updating your site. Verden.world may monitor your site and suggest improvements.
2.5 Intellectual Property Compliance
You must have permission to use any copyrighted material. You are solely responsible for any infringement.
3. Verden.world Rights and Obligations
3.1 Monitoring
We may monitor your site to ensure compliance with this Agreement and request changes as needed. Failure to comply may result in termination.
3.2 Termination for Fraud or Abuse
Verden.world may terminate this Agreement immediately without notice if fraud or abuse is detected. Commissions from fraudulent sales will not be paid.
3.3 Agreement Duration
This Agreement begins upon acceptance of your Affiliate application and continues until terminated.
4. Termination
Either party may terminate this Agreement at any time, with or without cause, by giving written notice via mail, email, or fax. The Agreement will also terminate immediately upon any breach.
5. Modification
Verden.world may modify this Agreement at its sole discretion and will notify you via email. Continued participation constitutes acceptance of modifications.
6. Payment
Payments are handled by ShareASale.com. Your acceptance of this Agreement implies acceptance of ShareASale’s terms and conditions.
7. Access to Affiliate Account Interface
You will create a password to access ShareASale’s secure interface to view reports and commissions.
8. Promotion Restrictions
8.1 General Restrictions
Unacceptable promotions include:
Spamming or unsolicited commercial emails (UCE).
Misrepresentation of identity, domain name, or return email address.
Advertising that implies affiliation with Verden.world.
8.2 Pay-Per-Click (PPC)
Bidding on Verden-related keywords to redirect traffic to your site is prohibited and may result in expulsion from the program.
8.3 Lead Form Use
Affiliates may input real prospect information into lead forms for valid leads.
8.4 Prohibited Software
Affiliates may not use interstitials, Parasiteware™, deceptive pop-ups, or commission-diverting tools.
9. Grant of Licenses
9.1 License to Use Materials
Verden.world grants a non-exclusive, non-transferable, revocable right to:
Access the site through HTML links.
Use logos, trademarks, and other licensed materials provided for affiliate purposes.
9.2 Proper Use
Licensed materials must not be used in a disparaging or misleading manner. All rights remain with Verden.world.
10. Disclaimer
Verden.world makes no warranties regarding the service, website, or products. We are not liable for interruptions or errors.
11. Representations and Warranties
You represent and warrant that:
You have executed this Agreement legally and it is binding.
You have the authority to enter this Agreement without third-party consent.
You have rights to grant the licenses provided herein.
12. Limitations of Liability
Verden.world will not be liable for indirect, incidental, or consequential damages. Total liability is limited to the commissions paid under this Agreement.
13. Indemnification
You agree to indemnify Verden.world against any claims arising from:
Trademark or intellectual property infringement.
Misrepresentation or breach of this Agreement.
Your website content.
Participation in the Affiliate Program.
14. Confidentiality
All confidential information disclosed by either party must remain confidential and cannot be used without permission.
15. Miscellaneous
Independent Contractor – This Agreement does not create any partnership, employment, or agency relationship.
Assignment – Rights or obligations cannot be assigned without consent.
Governing Law – This Agreement is governed by the laws of England and Wales.
Amendments – Any amendment must be in writing and signed by both parties.
Entire Agreement – This Agreement supersedes all prior agreements.
Headings – Headings are for convenience and do not affect interpretation.
Severability – If any provision is invalid, the rest of the Agreement remains in effect.
