AFFILIATE AGREEMENT

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND SPIRIT ANIMAL COFFEE, LLC
By submitting the online application, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions of this Agreement.
1. Overview
This Agreement outlines the terms and conditions for participation in the Spirit Animal Coffee Affiliate Program. Its purpose is to allow you to place affiliate links on your website that link to the Spirit Animal Coffee website (https://spiritanimalcoffee.com). Throughout this Agreement, “we,” “us,” or “our” refer to Spirit Animal Coffee, LLC, and “you” or “your” refer to the affiliate.
2. Affiliate Obligations
2.1. Enrollment
You must complete and submit an online application via ShareASale.com. While we may automatically approve applications, we reserve the right to reject or later revoke any application at our sole discretion. We may reject sites that:
Promote sexually explicit content, violence, discrimination, or illegal activity
Infringe intellectual property rights
Use “Spirit Animal Coffee” or variations in a domain
Are deceptive, defamatory, or harmful
Include software that redirects or manipulates affiliate tracking
2.2. Affiliate Tools and Links
Once accepted, you’ll gain access to tracking tools, creative assets, and reporting via ShareASale. You must use the provided HTML code and ensure your affiliate links are implemented correctly.
2.3. Compliance Monitoring
We may monitor your site to ensure it aligns with our standards. We may request changes to placement or content at any time.
2.4. Site Maintenance
You are solely responsible for maintaining and updating your site.
2.5. Intellectual Property Compliance
You are responsible for ensuring you have legal rights to all materials used on your site. We are not liable for any third-party copyright violations on your part.
3. Spirit Animal Coffee’s Rights
3.1. Monitoring and Enforcement
We may monitor your site and affiliate activity to ensure compliance. Non-compliance may result in termination of this agreement.
3.2. Fraud & Abuse
Fraudulent or abusive behavior (e.g., cookie stuffing, false leads) will result in immediate termination and forfeiture of commissions.
3.3. Term
This Agreement remains in effect until terminated by either party.
4. Termination
Either party may terminate this Agreement at any time with written notice (email suffices). Breach of terms results in immediate termination.
5. Modification
We may modify this Agreement with 7 days’ notice. Continued participation after updates implies acceptance. If you disagree, you may terminate the Agreement.
6. Payment
All affiliate tracking and payments are managed via ShareASale.com. Please review their payment policies.
7. Access to Affiliate Account
You will be provided secure login access to ShareASale's affiliate portal, where you can track performance and commission data.
8. Promotion Restrictions
8.1. Acceptable Practices
Avoid unsolicited emails (spam), false advertising, misleading domains, or unauthorized claims of affiliation. Misrepresentation may result in termination.
8.2. Paid Search Restrictions
Do not bid on keywords such as “Spirit Animal Coffee,” “spiritanimalcoffee.com,” or similar variants. Violators will be removed from the program.
8.3. Lead Submission
You may only submit leads with genuine user information and consent.
8.4. Prohibited Software & Behavior
You may not use browser plugins, toolbars, pop-ups, or hidden frames that interfere with affiliate tracking or user experience.
9. Licenses
9.1. Limited License
We grant you a non-exclusive, revocable right to use our brand assets solely for linking and promotion in accordance with this Agreement.
9.2. Brand Integrity
You may not use our trademarks in any way that is misleading, obscene, or damaging to Spirit Animal Coffee.
10. Disclaimer
We make no warranties regarding our website, services, or affiliate system. We are not liable for technical issues or interruptions.
11. Representations & Warranties
You represent that:
You have full authority to enter this Agreement
You will comply with all applicable laws
You own or have rights to all materials on your site
12. Limitation of Liability
We are not liable for indirect or consequential damages. Our total liability shall not exceed the total commissions paid to you.
13. Indemnification
You agree to indemnify Spirit Animal Coffee, LLC from any claims arising out of:
Your use of our trademarks
Misrepresentation or breach of this Agreement
Content on your site
14. Confidentiality
Confidential information shared during the term of this Agreement must not be disclosed without prior written consent.
15. Miscellaneous
You are an independent contractor, not an employee
This Agreement is governed by Florida State law
It may not be modified except in writing signed by both parties
If any part is deemed unenforceable, the rest remains valid
This Agreement represents the full understanding between the parties
