This affiliate program agreement is made between Intact Idea, LLC, also known via a BDA as Flair Espresso, herein referred to as "The Owner" and any affiliate marketer working to earn commissions as a result of referred sales via the Share A Sale platform, herein referred to as "The Marketer."PPC ComplianceThe Marketer is granted no right, and is completely disallowed from utilizing any trademarked or brand keyword terms in PPC advertising, on any platform, without the expressed written consent of The Owner prior to the publishing of any campaigns. These restricted, trademarked or brand keywords include all targeting types from broad to specific, in any advertising platform, and includes any misspellings. In addition, The Marketer is completely disallowed from conducting any PPC keyword campaign utilizing any Flair Espresso domain names or misspellings as targeted keywords. The restricted keywords are the following: - Flair Espresso - Flair Espresso Maker - Flair NEO - Flair Classic - Flair Signature - Flair PRO 2 - Flair 58 - Handcrafted EspressoCoupon ComplianceThe Marketer is completely disallowed from conducting any TM+ PPC keyword campaigns that target The Owner's brand, domain names, or website URLs, including misspellings, as listed above. Any rights given by The Owner to these campaigns by a specific Marketer must be earned prior to implementation of any campaign.Other coupon compliance rules are below, which are binding if The Marketer begins to act as an affiliate for The Owner. - SEO policy: The Marketer can optimize their affiliate site locations with SEO as needed. - Coupon policy: Click to Reveal Coupon codes, or any similar click-oriented strategy, is expressly forbidden by The Owner. Sales Tax and Government RegulationThe Owner cannot work with any Marketer that is located in a U.S. state that requires the collection of sales tax as a result of affiliate marketing sales and commissions that are earned by The Marketer in that state. This includes the following U.S. states: Maine, Vermont, Massachusetts, Connecticut, New York, Rhode Island, Pennsylvania, West Virginia, North Carolina, South Carolina, Georgia, Tennessee, Indiana, Michigan, Minnesota, Illinois, Missouri, Kansas, Colorado.Any Marketer located in California is allowed to function as a Marketer for The Owner due to The Owner's location in California. Spam PolicyThe Owner expressly forbids The Marketer from conducting any SPAM or Unsolicited Commercial Email (UCE) campaigns in support of The Owner or to earn commissions from The Owner. The Owner maintains a zero-tolerance policy against the above SPAM and UCE campaigns, be it direct or on behalf of The Marketer (third party). TerminationThe Owner reserves the absolute right, at any time, to rescind or terminate The Marketer's affiliate status for any reason in its sole and absolute discretion.
