3. Brand Ambassador’s Duties

3.1 Ambassador will perform certain services in connection with Company
and is currently contemplated to engage with the Company’s social
channels, including but not limited to Twitter, Facebook, Instagram,
YouTube , Google, Pinterest, SnapChat, Public/Private lectures, Seminars,
Events and Personal Appearances etc.
3.2 Ambassador agrees to engage in best efforts to provide the services to
Company in accordance with the terms of this Agreement. Ambassador
further agrees to provide the services in a professional and diligent manner
consistent with industry standards and good business practice, using efforts
comparable to those customarily used in in-person events, promotional
social media and various marketing campaigns of equivalent value and for
similar products or services.
3.3 The Ambassador shall deliver the agreed upon number of posts and / or
other relevant content as defined in Exhibit B on the agreed upon
platforms.
3.4 Ambassador further grants to Company the irrevocable right and
permission to film, video, photograph and/or otherwise record Ambassador
and to reproduce, publish, distribute, display, broadcast, exhibit, and/or in
any other way use Ambassador’s image, likeness, signature, voice,
photograph, name (including nicknames), actual and/or paraphrased
statements, biographical information and/or any other information or
attribute identifying and/or otherwise associated with Ambassador
(collectively, Likeness), in whole or in part, distorted, altered, modified
and/or adapted in character and/or in from, alone and/ or accompanied by
other material, in any manner and without restriction of any kind,
worldwide, royalty-free, for any purpose whatsoever, including without
limitation for the purpose of advertising, publicity, promotion, and or/other
marketing for Company and/or the Program, in all media (including
without limitation in social media):
(a) For as long as this Agreement persists where such content is created by
the Ambassador, or
(b) in perpetuity where such content is created by the Company during the
life of this Agreement.

3.5 Ambassador agrees to create original content that is honest and factual.
The approval from the Company may be required prior to the Ambassador
uploading or publishing the content. The approved content shall be shared
by the Ambassador to their agreed upon social media accounts.
3.6 The Company may request the Ambassador to incorporate hashtags,
links, titles, or other relevant information of the media and content being
uploaded or published. The content must be in compliance with the terms
and condition of the social media.
4. Miscellaneous Ambassador Obligations
4.1 Sharing. As the brand ambassador, the Ambassador is required to
share the many benefits of the Company Products. The Ambassador is
strictly prohibited from making any claim not approved by the Company.
The Ambassador may not prescribe, recommend, communicate or
advertise using Company Products for use other than those advised by the
Company. The Ambassador may not make any claim of any kind without
the express written permission of the Company. The Ambassador is
encouraged to highlight the many benefits of the Company Products, and
provides and honest opinion of the Company Products, their use and the
Ambassador’s personal experience with them.
4.2 Legal. Ambassador must notify Company in writing of any claim,
legal action or unauthorised use relating to the Company Products or that
may affect Company’s interests. Ambassador must comply with all
applicable leal requirements within 5 business days of learning about such
legal action or requirements.
4.3 Ethical Conduct. Ambassador must conform to and maintain the
highest ethical business standards, and must always act in a manner that
reflects favourably upon Company and does not dilute or harm Company’s
name or reputation. If the Ambassador recommends, tells or advertises the
Company Products or the Brand to any customers under any false claims,
the Ambassador will be held solely liable for that Customer as the
Company will not be held liable under this Agreement.
4.5 Posts. Ambassador should share with the the Company any posts the
Ambassador has made referencing the Brand and the Company Products.

The Company has the right to require the Ambassador to remove any posts
or reference online our in public, made by Ambassador at anytime.
4.6 Time is of the Essence. Ambassador hereby understands and
acknowledge that time is of the essence with respect to the Ambassador’s
obligations defined in this Agreement and that prompt and timely
performance of all such obligations is strictly required.
