This Program Agreement ("Agreement") is made between Sugarberry (referred to as "Merchant") and the ShareASale affiliate (referred to as "Affiliate") participating in the Sugarberry affiliate program. By participating in this program, Affiliate agrees to the terms and conditions outlined below:
1. Affiliate Responsibilities:
1.1. Affiliate agrees to promote Sugarberry's products and brand in a positive and ethical manner.
1.2. Affiliate will use valid and authorized tracking links provided by ShareASale to ensure proper tracking of referred sales.
1.3. Affiliate will not engage in any activities that may harm Sugarberry's reputation or violate any applicable laws or regulations.
1.4. Affiliate is responsible for regularly accessing their ShareASale account to track performance, access promotional materials, and stay updated on program changes.
2. Commission and Payment:
2.1. Affiliate will receive a commission on qualifying sales referred through their ShareASale tracking links.
2.2. Commission rates and structures will be outlined in the ShareASale interface and may be subject to change with prior notice.
2.3. Sugarberry will pay commissions to the Affiliate based on the agreed-upon schedule and payment terms outlined by ShareASale.
3. Promotion and Marketing:
3.1. Affiliate may use Sugarberry's approved promotional materials, including banners, logos, and approved product images, to promote the brand.
3.2. Any additional marketing materials or content created by the Affiliate must be approved by Sugarberry before use.
3.3. Affiliate will not engage in any deceptive or misleading advertising practices that may misrepresent Sugarberry's products or brand.
4. Intellectual Property:
4.1. All intellectual property rights associated with Sugarberry's brand, trademarks, logos, and promotional materials are the sole property of Sugarberry.
4.2. Affiliate agrees not to use Sugarberry's intellectual property without explicit written permission from Sugarberry.
5. Term and Termination:
5.1. This Agreement will begin upon acceptance by both parties and will continue until terminated by either party with a written notice.
5.2. Either party may terminate this Agreement at any time, for any reason, with written notice to the other party.
5.3. Upon termination, Affiliate will cease using any Sugarberry trademarks, logos, and promotional materials.
6. Confidentiality:
6.1. Both parties agree to keep any non-public information shared during the course of this Agreement confidential and not disclose it to any third parties without written consent from the disclosing party.
7. Governing Law:
7.1. This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Sugarberry is registered.
By participating in the Sugarberry affiliate program through ShareASale, both parties agree to the terms and conditions outlined in this Program Agreement.
