These Affiliate Program Terms & Conditions (“Agreement”) govern your participation in the Luv Aj Affiliate Program (“Program”) operated by Luv Aj, Inc. (“Luv Aj”, “we”, “us”, “our”). By applying to, or participating in, the Program, you (“Affiliate”, “you”, “your”) agree to be bound by this Agreement.

1. Definitions

• Affiliate Link: A unique URL or code provided to you by Luv Aj to track referrals from your marketing efforts.
  
   
• Qualifying Purchase: A purchase of Luv Aj products by a customer who clicks through your Affiliate Link and meets all conditions defined in this Agreement.
  
   
• Commission: The compensation payable to you for each Qualifying Purchase, as set by Luv Aj.
  
   
• Promotional Materials: Banners, graphics, text links, coupon codes, trademarks, product images, or other content provided by Luv Aj for use by Affiliates.
  
   
• Term: The duration this Agreement is in effect for you, from activation until termination under Section 12.
  
   

2. Enrollment & Acceptance

• You may apply to join the Program via our affiliate application form. We reserve the right to accept or reject your application at our sole discretion.
  
   
• We do not accept affiliates whose content or platforms:
    • contain explicit sexual content, hateful or discriminatory speech, violence, illegal activities, or otherwise contrary to our brand image;
    • promote gambling, tobacco, or other regulated/or restricted products (unless expressly permitted by law and Luv Aj policy);
    • engage in incentive‑based traffic (offering rewards or payouts for clicking or purchasing) without prior approval;
    • operate paid search campaigns that bid on Luv Aj’s trademarks or misspellings thereof, unless explicitly approved.
  
   

3. Affiliate Disclosure

• You must comply with all applicable laws regarding endorsements and advertising, including the U.S. Federal Trade Commission (FTC) guidelines for affiliate disclosures.
  
   
• You agree to clearly disclose in a conspicuous manner that you will receive compensation for promoting Luv Aj products when using Affiliate Links.
  
   

4. Trademark & Brand Use Policy

• We grant you a limited, non‑exclusive, revocable license to use Luv Aj’s trademarks, logos, service marks, trade names, and promotional materials solely for the purposes of promoting our products as per this Agreement.
  
   
• You shall not modify any Trademark materials without our prior written consent.
  
   
• Use of the Trademarks in domain names, meta tags, paid search keywords, or any misleading or unauthorized usage is prohibited unless specifically permitted in writing by Luv Aj.
  
   

5. Permitted & Prohibited Promotional Methods

Permitted methods may include, but are not limited to:

• Blogging, social media posts, email newsletters, product reviews, influencer content, video content.
  
   

Prohibited methods include, without limitation:

• Misleading or false claims about Luv Aj products;
  
   
• Coupons, discount codes or price‑modifications other than those provided or approved by Luv Aj;
  
   
• Incentivized traffic or reward‑for‑click schemes without written approval;
  
   
• Content that violates copyright, trademark, or other intellectual property rights;
  
   
• Paid search campaigns bidding on “Luv Aj” or its variations (unless we have expressly granted you permission);
  
   
• Any content or promotions that violate laws or regulations in jurisdictions you operate in.
  
   

6. Affiliate Rights & Obligations

• You will be given access to your affiliate dashboard or panel, where you can obtain Affiliate Links, view your referrals, sales, and commissions.
  
   
• You agree to use the Promotional Materials in compliance with this Agreement and not to change them materially without prior written consent.
  
   
• You are responsible for the content on your sites, emails, or other platforms and must ensure it is accurate, lawful, and in line with Luv Aj’s brand values.
  
   

7. Merchant (Luv Aj) Rights & Obligations

• We reserve the right to monitor your promotional methods, and to reject, disable, or request modification of Affiliate Links or Promotional Materials that do not comply with this Agreement.
  
   
• We may withhold or refuse to pay commissions for Qualifying Purchases that are fraudulent, made by the Affiliate’s own account, or otherwise in breach of this Agreement.
  
   
• We have the obligation to pay commissions in accordance with the Payment Policy (see Section 9).
  
   

8. Warranties & Representations

By entering into this Agreement, you represent and warrant that:

• You have full power and authority to enter into this Agreement.
  
   
• Your participation does not violate any other agreement to which you are a party.
  
   
• All content you use in promotions is lawful and that you own or have the rights to use such content.
  
   
• Any customer referrals are genuine, valid, and comply with our rules for Qualifying Purchases.
  
   

9. Payment Policy

• Commission Rate: We will pay you a commission of 9% on each Qualifying Purchase (excluding taxes, shipping, returns) made by customers who use your Affiliate Link.
  
   
• Tracking & Reporting: Commissions are tracked via our affiliate software/system. It is your responsibility to ensure that your Affiliate Links function correctly.
  
   
• Payment Schedule: Commissions earned will be paid on a monthly basis (or other interval) if and when your accrued balance meets or exceeds a minimum threshold of $10.
  
   
• Rejected Commissions: We reserve the right to refuse or withhold commission payments for orders cancelled, returned, fraudulent, or otherwise invalid as defined by this Agreement.
  
   

10. Term, Termination & Modification

• Effectiveness: This Agreement is effective once you are accepted into the Program.
  
   
• Modifications: We may modify the terms of this Agreement at any time. Updated terms will be posted on our website. Your continued participation after any modification constitutes acceptance of the modified terms.
  
   
• Termination: Either party may terminate this Agreement at any time, with or without cause. On termination, you must immediately cease using any Promotional Materials and Affiliate Links, and we will pay any unpaid, non‑fraudulent commissions earned prior to the date of termination, subject to returns and cancellations.
  
   

11. Disclaimer of Warranties & Limitation of Liability

• Luv Aj makes no warranties, express or implied, about the Affiliate Program, Products or Promotional Materials, including but not limited to fitness for a particular purpose, merchantability, non‑infringement, or that the program will be uninterrupted, error‑free, or secure.
  
   
• Under no circumstances shall Luv Aj, its officers, directors, employees, or agents be liable to you or any third party for any indirect, incidental, special, or consequential damages arising out of this Agreement, even if advised of the possibility of such damages.
  
   
• Our aggregate liability for any claim arising under this Agreement shall in no event exceed the total commissions paid or payable to you in the 3 months immediately preceding the event giving rise to liability.
  
   

12. Indemnification

You agree to indemnify, defend, and hold harmless Luv Aj and its affiliates, employees, officers, directors, agents, partners, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

• Your breach of this Agreement;
  
   
• Your violation of any law or third‑party rights;
  
   
• Claims related to content you produce or host or the manner in which you promote Luv Aj products;
  
   
• Any misleading or fraudulent conduct in connection with your Affiliate activities.
  
   

13. Confidentiality

• You agree to keep confidential any non‑public information made available to you by Luv Aj relating to the Program, including performance, financials, product launch schedules, and customer data.
  
   
• Confidential Information does not include information which is publicly known (other than by breach of this Agreement), or required to be disclosed by law.
  
   

14. Relationship of the Parties

• You are an independent contractor. Nothing in this Agreement shall create a partnership, joint venture, agency, franchise, or employment relationship between you and Luv Aj.
  
   
• You shall have no authority to bind Luv Aj to any obligation other than those expressly stated in this Agreement.
  
   

15. Governing Law & Miscellaneous

• This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflicts of law principles.
  
   
• Any disputes arising under or related to this Agreement shall be resolved in the state or federal courts located in California, and you consent to jurisdiction and venue there.
  
   
• If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  
   
• Failure by Luv Aj to enforce any provision of this Agreement shall not constitute a waiver of that provision.
