This Affiliate Program Agreement (the "Agreement") is entered into between Confidence Studio LLC DBA Minimale Animale (referred to as "Company," "we," or "us") and the affiliate ("Affiliate," "you," or "your") participating in the affiliate program for the swimwear brand Minimale Animale. By joining our Affiliate Program, you acknowledge and agree to be bound by the terms and conditions set forth in this Agreement.
Program Overview:
1.1. The Affiliate Program allows you to earn commission by promoting and referring customers to the Minimale Animale website (www.minimaleanimale.com).
1.2. All affiliates are required to comply with the terms and conditions outlined in this Agreement, as well as the ShareASale Terms of Use.
Compliance and Restrictions:
2.1. You agree to comply with all applicable laws, regulations, and industry standards in promoting the Minimale Animale brand.
2.2. You shall not engage in any deceptive, misleading, or fraudulent activities in connection with the promotion of Minimale Animale.
2.3. You shall not engage in any illegal activities or promote any illegal content while participating in the Affiliate Program.
2.4. You shall not engage in any activity that may harm the reputation, brand image, or business interests of Minimale Animale or Company.
2.5. You shall not engage in any form of spamming, including but not limited to unsolicited email marketing or unauthorized use of social media platforms.
2.6. You shall not engage in any activity that violates intellectual property rights, including copyright or trademark infringement, in the promotion of Minimale Animale.
2.7. You shall not engage in any unauthorized use of the Minimale Animale brand name, trademarks, logos, or any other intellectual property.
Commission and Payments:
3.1. You will receive a commission for each eligible sale generated through your unique affiliate links or promotional codes.
3.2. The commission rate and payment terms will be outlined in your affiliate account on the ShareASale platform.
3.3. Commissions are subject to adjustments or reversals in cases of returns, cancellations, or fraudulent activities.
3.4. Payment of commissions will be made according to the payment schedule and methods set forth by ShareASale.
Termination:
4.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
4.2. Company reserves the right to terminate this Agreement and your participation in the Affiliate Program immediately if you violate any of the terms and conditions outlined herein.
4.3. Upon termination, you shall immediately cease all promotional activities related to Minimale Animale and remove any affiliate links or promotional materials from your websites or platforms.
Limitation of Liability:
5.1. Company and Minimale Animale shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement or the Affiliate Program.
5.2. Company's maximum liability under this Agreement shall not exceed the total commission payments made to you in the three (3) months preceding the event giving rise to such liability.
Governing Law and Jurisdiction:
6.1. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
6.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
PPC Restriction:
7.1. You shall not bid on or use the keyword/trademark term "Minimale Animale" or any variations, misspellings, or similar terms thereof in any pay-per-click advertising campaigns, including but not limited to search engine marketing (SEM) and paid social media advertising.
7.2. You shall not use the keyword/trademark term "Minimale Animale" or any variations, misspellings, or similar terms thereof in display URLs, ad copy, or ad extensions in pay-per-click advertising campaigns.
7.3. Violation of this PPC restriction may result in the termination of this Agreement and forfeiture of any unpaid commissions.
By joining the Affiliate Program, you acknowledge that you have read, understood, and agreed to all the terms and conditions set forth in this Agreement.
