Affiliate Program Agreement
This Affiliate Program Agreement (the "Agreement") is entered into by and between Boxplunge, hereinafter referred to as the "Company," and [Affiliate Name], hereinafter referred to as the "Affiliate," collectively referred to as the "Parties."
Program Overview:
The Company operates an affiliate marketing program that allows affiliates to earn commissions by promoting and referring customers to Boxplunge's products and services. The Affiliate agrees to participate in the program under the terms and conditions set forth in this Agreement.
Commissions:
2.1 Commission Structure:
The Affiliate will receive a commission equal to 5% of the net sales generated from customers referred by the Affiliate using their unique affiliate links.
2.2 Determination of Net Sales:
Net sales will be calculated by subtracting any applicable taxes, discounts, refunds, chargebacks, or other fees from the total sales generated from customers referred by the Affiliate.
2.3 Payment Schedule:
Commissions will be paid to the Affiliate on a monthly basis, within 30 days following the end of each calendar month. Boxplunge will provide the Affiliate with a detailed report outlining the sales and commissions earned during the previous month.
Affiliate Obligations:
3.1 Promotion and Marketing:
The Affiliate agrees to promote and market Boxplunge's products and services using the unique affiliate links provided by Boxplunge. The Affiliate will ensure that all promotional activities comply with applicable laws and regulations and do not infringe upon any third-party rights.
3.2 Link Expiration:
The affiliate links provided to the Affiliate will have a validity period of 90 days from the date of issuance. After the expiration date, any sales generated through expired links will not be eligible for commissions.
3.3 Ethical Conduct:
The Affiliate agrees to engage in ethical business practices, including but not limited to, refraining from engaging in any misleading, deceptive, or fraudulent activities that may damage the reputation of Boxplunge.
Termination:
Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, the Affiliate will no longer be eligible to earn commissions for sales generated after the termination date. Any outstanding commissions will be paid to the Affiliate in accordance with Section 2.3.
Intellectual Property:
5.1 Ownership:
Boxplunge retains all ownership rights, including but not limited to, copyright, trademark, and other intellectual property rights associated with its products, services, and promotional materials.
5.2 Limited License:
During the term of this Agreement, Boxplunge grants the Affiliate a non-exclusive, non-transferable, revocable license to use Boxplunge's logos, trademarks, and other promotional materials solely for the purpose of promoting Boxplunge's products and services in accordance with this Agreement.
Limitation of Liability:
Boxplunge will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if advised of the possibility of such damages.
Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of Florida.
Entire Agreement:
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
Amendments:
This Agreement may only be modified or amended in writing signed by both Parties.
By signing below, the Parties acknowledge and agree to the terms and conditions set forth in this Affiliate Program Agreement.
