Basic General Terms for Awin Affiliate Account

Welcome to the Awin affiliate cooperation system. These terms aim to regulate the cooperative behavior between affiliate publishers (hereinafter referred to as "Publishers") and us (affiliate advertisers, hereinafter referred to as "Advertisers"), protect the legitimate rights and interests of both parties, and ensure fair, just and orderly cooperation. All entities intending to become publishers of this alliance and participate in promotion activities must carefully read and strictly abide by these terms before applying to join and carrying out promotion activities.

 

1. Scope and Methods of Cooperation

  1. Publishers may promote the products or services provided by Advertisers through their own legally owned or operated platforms (including but not limited to websites, social media accounts, short - video platforms, blogs, etc.) in accordance with these terms and the specific promotion rules subsequently issued by Advertisers.
  2. Promotion methods include but are not limited to legitimate and compliant forms such as display advertising, link promotion, content recommendation, etc., but do not include the promotion methods explicitly prohibited in these terms.

2. Prohibited Promotion Behaviors

  1. Strictly prohibit brand - term search advertising promotion: Publishers shall not use the Advertiser's brand name, trademark, logo, as well as variant words and combined words related to the brand (hereinafter collectively referred to as "brand terms") to place search advertisements. This includes but is not limited to placing advertisements with brand terms as keywords on the search result pages of major search engines (such as Google, Baidu, Bing, etc.), and shall not carry out similar brand - term search advertising promotion on other platforms with search functions.
  2. Publishers shall not engage in any false or misleading promotion behaviors, including but not limited to exaggerating product efficacy, falsely publicizing product information, concealing important product information, etc., and shall not damage the brand image and reputation of Advertisers.
  3. Publishers shall not place promotion links or advertisements on platforms or pages containing illegal, pornographic, violent, gambling, hate and other bad information.
  4. Publishers shall not use any cheating means for promotion, such as clicking on advertisements by themselves, false transactions, malicious brushing, etc., to defraud commissions or other cooperative benefits.

3. Commission Settlement and Payment

  1. The commission calculation method shall be subject to the specific rules announced by Advertisers on the Awin platform, and Publishers can query relevant information on the platform.
  2. Advertisers will settle the effective promotion performance of Publishers according to the agreed settlement cycle (such as monthly, quarterly, etc.). Effective promotion performance refers to the actual conversion brought by promotion behaviors that comply with these terms and specific promotion rules.
  3. For the promotion performance caused by Publishers' violation of these terms or other promotion rules, Advertisers have the right not to settle the relevant commissions, and can require Publishers to return the commissions that have been paid.

4. Intellectual Property Rights

  1. Advertisers own the relevant intellectual property rights of the products, services, brand names, trademarks, logos, promotional materials, etc. provided by them. Publishers can only reasonably use the above intellectual property rights within the scope of this cooperation for the purpose of promotion, and shall not use them for any other purposes or beyond the scope of cooperation.
  2. Publishers shall ensure that the platforms and promotion contents used for promotion do not infringe the intellectual property rights of any third party. If a third - party intellectual property infringement dispute arises due to the reasons of Publishers, Publishers shall bear all responsibilities by themselves and compensate for the losses caused to Advertisers.

5. Confidentiality Obligations

  1. Both parties shall have the obligation to keep confidential the other party's trade secrets (including but not limited to customer information, promotion strategies, commission rates, financial data, etc.) learned in the process of cooperation.
  2. Without the written consent of the other party, neither party shall disclose the above trade secrets to any third party, except as otherwise provided by laws and regulations or necessary for the performance of these terms.
  3. This confidentiality obligation shall remain valid after the termination of these terms.

6. Modification and Termination of Terms

  1. Advertisers have the right to modify these terms according to the needs of business development. The modified terms will be announced on the Awin platform. If Publishers continue to participate in promotion activities, it shall be deemed that they agree to the modified terms.
  2. If Publishers seriously violate these terms or other promotion rules, Advertisers have the right to immediately terminate the cooperation with Publishers and pursue their corresponding responsibilities.
  3. Publishers can apply to Advertisers to terminate the cooperation at any time. After confirmation by both parties, the cooperative relationship will be terminated. After the termination of cooperation, Publishers shall immediately stop using the relevant intellectual property rights and promotional materials of Advertisers.

7. Legal Application and Dispute Resolution

  1. The conclusion, validity, interpretation, performance and dispute resolution of these terms shall be governed by the laws of the People's Republic of China (for the purpose of these terms, excluding the laws of the Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Region).
  2. Any dispute arising from or in connection with these terms shall first be resolved through friendly negotiation between the two parties; if negotiation fails, either party shall have the right to file a lawsuit with the people's court with jurisdiction at the place where Advertisers are located.

8. Others

  1. These terms constitute the complete agreement reached by both parties on the alliance cooperation matters, replacing any oral or written agreements, understandings and commitments previously reached by both parties on this matter.
  2. If any term in these terms is deemed invalid, illegal or unenforceable, the invalidity, illegality or unenforceability of that term shall not affect the validity of other terms in these terms.
  3. These terms shall take effect from the date on which Publishers confirm and agree on the Awin platform.
