This Program Agreement ("Agreement") is entered into between Cozy Ups ("Company") and its affiliates ("Affiliates") participating in the Affiliate Program. By participating in the Affiliate Program, Affiliates agree to be bound by the terms and conditions outlined in this Agreement.
Eligibility: Affiliates must meet the following criteria to participate in the Affiliate Program:
a. Possess a valid and active website, blog, or social media channel.
b. Comply with all applicable laws and regulations.
c. Maintain a positive and reputable online presence.
Affiliate Responsibilities:
a. Affiliates shall promote Company's products and services in a professional and ethical manner.
b. Affiliates shall not engage in any illegal or unethical activities, including but not limited to:
i. Spamming or unsolicited email marketing.
ii. Misleading or deceptive advertising practices.
iii. Violation of intellectual property rights.
iv. Engaging in any form of illegal content or activities.
c. Affiliates shall not bid on Company's trademarks or variations thereof in pay-per-click advertising campaigns without prior written consent.
Commission and Payments:
a. Company shall pay Affiliates a commission for each qualifying sale generated through their unique affiliate links or codes.
b. The commission structure and payment terms shall be outlined separately in the Affiliate Program documentation.
c. Company reserves the right to modify the commission structure and payment terms with prior notice to Affiliates.
Termination:
a. Either party may terminate this Agreement at any time with or without cause, by providing written notice to the other party.
b. Company may terminate an Affiliate's participation in the program immediately and without prior notice if the Affiliate breaches any terms of this Agreement.
c. Upon termination, all rights and obligations of both parties shall cease.
Confidentiality: Affiliates shall maintain the confidentiality of any proprietary or confidential information shared by the Company, including but not limited to commission rates, customer data, and marketing strategies.
Indemnification: Affiliates agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of their participation in the Affiliate Program or any breach of this Agreement.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].
By participating in the Affiliate Program, Affiliates acknowledge that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein. All affiliates are also bound by the ShareASale Terms of Use.
