This Affiliate Agreement (the "Agreement") is entered into between Betesh Group (referred to as "Merchant") and the affiliate (referred to as "Affiliate") participating in the affiliate program ("Program").1.Program Participation1.1 The Affiliate agrees to promote Merchant's products or services through approved marketing channels, including but not limited to Pay-Per-Click (PPC) advertising.1.2 The Affiliate acknowledges and agrees to comply with all terms and conditions set forth in this Agreement.2.Affiliate Responsibilities2.1 The Affiliate shall promote Merchant's products or services in a professional manner, adhering to ethical business practices and applicable laws and regulations.2.2 The Affiliate shall not engage in any misleading, deceptive, or unethical practices that could harm the reputation of Merchant.2.3 The Affiliate shall ensure that its PPC campaigns comply with all applicable laws and regulations, including but not limited to those related to trademark usage, bidding restrictions, and ad content guidelines.2.4 The Affiliate shall comply with the following PPC guidelines:a. The Affiliate shall not bid on Merchant's trademark or variations thereof as keywords in PPC campaigns.b. The Affiliate shall not use Merchant's trademark in the display URL or ad copy of PPC ads.c. The Affiliate shall not use deceptive or misleading ad copy to drive traffic to its own site.d. The Affiliate shall not engage in "cookie stuffing" or any other fraudulent practices to artificially inflate clicks or conversions.e. The Affiliate shall not use negative keywords or ad copy that disparages Merchant or its products.3.Commission and Payments3.1 The Affiliate shall be eligible to receive commissions for valid referrals made through its unique affiliate links or tracking codes.3.2 The commission structure, rates, and payment terms shall be outlined in the Program details provided by Merchant.3.3 The Affiliate shall provide accurate and up-to-date payment information to ensure timely commission payments.3.4 Merchant shall be responsible for processing and distributing commission payments to the Affiliate in accordance with the agreed-upon payment schedule.4.Coupon Usage4.1 The Affiliate may promote and distribute coupons or discount codes provided by Merchant as part of the Program.4.2 The Affiliate shall clearly and accurately present the coupon or discount code information to its audience, ensuring the terms and conditions are clearly stated.4.3 The Affiliate shall not use misleading or unauthorized coupon codes or engage in coupon fraud.4.4 The Affiliate shall not bid on Merchant's trademark or variations thereof as keywords in PPC campaigns for the purpose of driving traffic to its own coupon sites.5.Intellectual Property5.1 The Affiliate acknowledges that all intellectual property rights, including trademarks, logos, and copyrighted material, associated with Merchant's products or services belong to the Merchant or its licensors.5.2 The Affiliate is granted a non-exclusive, revocable, and limited license to use Merchant's approved marketing materials, including coupons, solely for the purpose of promoting the products or services as part of the Program.5.3 The Affiliate shall not modify, reproduce, distribute, or create derivative works of Merchant's intellectual property without prior written consent from the Merchant.6.Termination6.1 Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party.6.2 Upon termination, the Affiliate shall immediately cease all promotional activities related to the Program, including the use of PPC ads and coupons.7.Confidentiality7.1 The Affiliate agrees to keep confidential any non-public information shared by Merchant, including but not limited to commission rates, customer data, and business strategies.7.2 The Affiliate shall not disclose or use any confidential information for purposes other than promoting Merchant's products or services as part of the Program.8.Limitation of Liability8.1 Merchant shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the Affiliate's participation in the Program.8.2 The Affiliate agrees to indemnify and hold harmless Merchant from any claims, liabilities, losses, or expenses incurred as a result of the Affiliate's actions or omissions.By participating in the Program, the Affiliate acknowledges and agrees to be bound by the terms and conditions of this Agreement.
