This Agreement outlines the terms and conditions for your participation in the Cymbiotika Affiliate Marketing Program. By joining the program, you agree to the terms below.
1. Program Overview
As a Cymbiotika affiliate ("you"), you will promote our products using approved tracking links on your website, email communications, or software applications (collectively referred to as "Website"). In return, you will earn commission on qualifying purchases made through your links. "We," "us," and "Cymbiotika" refer to Cymbiotika.com.
2. Term and Termination
This Agreement is effective upon your acceptance into the program and remains in effect until terminated by either party. You or Cymbiotika may terminate the Agreement at any time, with or without cause. You are only eligible to earn commissions on sales during the term. Commissions on canceled or returned orders will not be paid.
3. Commission Structure
Affiliates earn up to a 10% commission on all qualifying purchases referred to Cymbiotika.com.
Cookie Duration: 30 days
Payout Timing: Commissions are paid monthly through Awin. We reserve the right to withhold payments for canceled or disputed orders.
4. Promotion Guidelines
You may use graphic and textual links provided or approved by us to promote Cymbiotika. Each link must navigate directly to our site via a tagged tracking URL. Do not place links on websites or pages that promote hate, illegal activity, or misinformation.
You are responsible for proper integration of tracking links. We are not responsible for lost commissions due to incorrect implementation.
5. PPC Advertising Policy
No bidding on Cymbiotika trademarked terms unless approved.
No use of trademarked terms in ad copy, URL, or display name.
No direct linking to Cymbiotika from PPC ads.
Add Cymbiotika trademarks as negative keywords.
Violations will result in forfeiture of at least 14 days of commissions and potential removal.
6. Responsibilities
Cymbiotika: Handles order fulfillment, customer service, and payment processing.
Affiliate: Manages all marketing activities, including costs. You are responsible for complying with advertising laws, maintaining accurate information, and not misleading customers.
7. Intellectual Property
You may use Cymbiotika’s trademarks and branding solely for approved promotions. We reserve the right to revoke this license at any time.
You also grant Cymbiotika the right to use your brand name and logo to promote our partnership, subject to written approval.
8. Independent Contractor Status
You are an independent contractor, not an employee of Cymbiotika. This Agreement does not constitute a partnership, joint venture, or employment relationship.
9. Confidentiality & Proprietary Information
You agree not to disclose or misuse any proprietary information obtained during your participation in the program for two years following termination.
10. Limitation of Liability
Cymbiotika is not liable for indirect, incidental, or consequential damages, including lost profits or data. Our total liability under this agreement will not exceed the commissions paid to you.
11. Indemnification
You agree to indemnify and hold Cymbiotika harmless from claims arising from your site, your breach of this Agreement, or infringement on third-party rights.
12. Governing Law
This Agreement is governed by the laws of the State of California. Any disputes shall be resolved through arbitration in San Diego County, CA.
13. Modification
We may update this Agreement at any time. Continued participation in the program constitutes your acceptance of any changes.
14. FTC Disclosure Compliance
Affiliates must comply with all applicable advertising laws and the FTC’s endorsement guidelines. All promotional content must clearly disclose the affiliate relationship (e.g., “I may earn a commission from qualifying purchases”).
15. Prohibited Promotional Methods
The following are strictly prohibited unless otherwise approved by Cymbiotika in writing:
Listing on coupon or deal sites
Impersonating Cymbiotika or its representatives on any platform
Email marketing campaigns that violate the CAN-SPAM Act or other spam regulations
Using expired, misleading, or fake discount codes
Violations may result in removal from the program and forfeiture of commissions.
16. Commission Reversals and Adjustments
Commissions may be reversed or adjusted in the following circumstances:
Fraudulent or suspicious transactions
Chargebacks, canceled, or returned orders
Self-referrals or other policy violations
Any activity that violates these Terms & Conditions
Cymbiotika reserves the right to make commission adjustments at its sole discretion.
17. Self-Referrals Prohibited
Affiliates may not use their own affiliate links to make personal purchases. Violations will result in forfeiture of commissions and removal from the program.
18. Tax Obligations
Affiliates are responsible for reporting and paying any taxes on income earned through the Cymbiotika Affiliate Program. We may require submission of tax documentation (e.g., W-9 or W-8BEN) before issuing payouts.
By joining the Cymbiotika Affiliate Program, you confirm that you have read and agreed to these terms.
