CV Sciences Affiliate Program Participation Agreement
At CV Sciences, our affiliates are very important to us. As an affiliate, you will help us carry out our mission to improve the quality of life through nature and science. This mission requires a commitment to upholding our core values and maintaining our company’s good standing as a pioneer and leader in the hemp-derived CBD (cannabidiol) industry and health and wellness industry at large.
Due to the complex rules and regulations that govern the marketing and sale of dietary supplements, this Agreement is intended to explain what is expected of you and what you can expect from us to ensure your work as an affiliate is compliant and lawful.
In addition to the information included in this Agreement, we will provide resources and information to help you promote our products and brands. We look forward to your contributions to our community of do-gooders, science lovers, and wellness seekers.

AFFILIATE AGREEMENT
PLEASE READ THE ENTIRE AGREEMENT.
YOU MAY PRINT THIS DOCUMENT FOR YOUR RECORDS.
This is a legal agreement between you and CV Sciences, Inc. By submitting an online application, you agree that you have read and understand the terms and conditions of this agreement and agree to be legally responsible for every term and condition. If you do not agree, do not join this affiliate program.
1. Overview
This Agreement contains the complete terms and conditions that apply to your participation in the CV Sciences Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and/or social media account(s) and CV Sciences’ websites — including, but not limited to:
CVSCIENCES.COM and PLUSCBDOIL.COM.
2. Affiliate Obligations
2.1 Enrollment
To begin enrollment, complete and submit an online application at AWIN.com. Acceptance is at our sole discretion. You must:
Be at least 18 years old
Provide accurate and truthful information
Have the right and authority to enter this Agreement
We may reject your application for any reason, including if your website:
Contains sexually explicit or violent content
Promotes discrimination, illegal activity, or infringes on third-party rights
Uses our trademarks (e.g. “CV Sciences,” “PlusCBD”) in domain names
Imitates our websites or brands
Contains deceptive software or link hijacking tools
2.2 Affiliate Portal Access
If accepted, you will access tools and creatives via AWIN.com, including banners, text links, tracking codes, and HTML for linking.
2.3 Prohibited Purchases
You may not use your own affiliate link to buy CV Sciences products for resale or commercial use.
2.4 Link Placement
We may review your website and ask for link placement changes at any time.
2.5 Site Maintenance
You are responsible for keeping your content current and accurate.
2.6 IP Compliance
Do not use copyrighted or trademarked material without permission. You are solely responsible for any legal issues from misuse.
2.7 FTC Compliance
You must disclose your “material connection” with CV Sciences (e.g. receiving compensation or products) per FTC guidelines when promoting products.
3. Product Claim Prohibitions and Limitations
3.1 Compliance
All marketing must comply with FTC and FDA regulations. Claims must be:
Truthful
Not misleading
Substantiated
Not referencing disease treatment, cures, or prevention
3.2 Prohibited Terms
You may NOT use or imply the following terms:
“Therapeutic,” “Medicinal,” “Clinical,” “Diagnose,” “Prevent,” “Cure,” “Heal,” “Improve,” “Dosage,” “Relieve,” “Inflammation” (except for exercise-related), “All Natural,” or any reference to disease.
3.3 Program Handbook
Refer to the CV Affiliate Program Handbook for approved messaging guidelines.
4. Influencer CBD Exclusivity
If you promote CV Sciences on social media as an influencer, you may not promote any other CBD brands during your participation in the program.
Violating this clause results in immediate termination.
5. CV Sciences Rights and Obligations
5.1 Monitoring
We may monitor your site and require changes to comply with this Agreement.
5.2 Termination for Violations
We reserve the right to terminate this Agreement at any time, especially for:
Prohibited product claims
Exclusivity clause violations
Fraud or abuse
No commissions will be paid after the violation date.
5.3 Term Duration
This Agreement begins upon your acceptance and remains in effect unless terminated.
6. Termination
Either party may terminate the Agreement at any time, with or without cause, by written notice (email is acceptable). Immediate termination will occur upon any breach.
7. Modification
We may modify this Agreement at any time. Notice will be sent via email. Continued participation implies acceptance of changes.
8. Commission Payments
You will earn a commission based on Net Revenue from valid purchases tracked via AWIN.com.
Net Revenue = Gross sales revenue minus:
Taxes
Shipping & handling
Gift wrap & value-added services
Returns & chargebacks
Orders must be shipped, paid in full, and not refunded to be eligible for commission.
9. Payment
All commissions and tracking are handled through AWIN.com. Please refer to AWIN's payment terms for timing and methods.
10. Access to Affiliate Account Interface
You will have access to affiliate reports, commissions, and creatives via AWIN.com.
11. Promotion Restrictions
11.1 Spam & Misrepresentation
You may not promote CV Sciences through:
Spam emails or unsolicited communications
Misleading content or identity masking
Commercial newsgroup spamming
Fake coupon claims
You must represent yourself as an independent promoter — not as CV Sciences.
11.2 PPC Trademark Bidding
You may not bid on keywords like “CV Sciences,” “PlusCBD,” “CVSCIENCES.COM,” or “PLUSCBDOIL.COM” (or misspellings) in paid search unless directed to your own site first.
11.3 Lead Form Input
You may submit leads using affiliate forms only if the information is valid and from real users.
11.4 Software Interference
You may not use:
Interstitials
Toolbars
Popups or popunders
Cookie-stuffing apps or malware
12. Coupon Guidelines
If you promote coupons:
Only use codes provided through AWIN.com or displayed on CV Sciences sites
Do not promote internal or non-affiliate codes
Show full offer details and expiration dates
Do not mask codes or force clicks to reveal deals
Do not imply sitewide offers require your affiliate link unless true
13. Grant of Licenses
You are granted a non-exclusive, revocable right to:
Use our logos, banners, and links
Promote our products within program rules
You may not alter or misuse our brand materials. All rights remain with CV Sciences.
14. Disclaimer
We make no warranties about:
Affiliate services
Platform uptime (AWIN)
Accuracy of reports or commissions
We are not responsible for technical issues or service interruptions.
15. Representations and Warranties
You warrant that:
You can legally enter into this Agreement
You own your site content
You are not violating any other agreement or legal duty
16. Limitations of Liability
We are not liable for:
Indirect, incidental, or consequential damages
Lost revenue or data
Liability beyond total commissions paid to you
17. Indemnification
You agree to indemnify CV Sciences and its affiliates from all legal claims, damages, and losses that arise from your:
Trademark or copyright infringement
Breach of this Agreement
Content, claims, or promotions
18. Confidentiality
Any confidential information marked as such must be protected and not disclosed to others without written permission.
19. Independent Contractor
You are an independent contractor, not an employee.
You may not bind, represent, or act on behalf of CV Sciences.
20. Governing Law and Forum
This Agreement is governed by California law.
Legal disputes must be resolved in San Diego, California.
21. Press Release
You may not issue any press release or public announcement that references CV Sciences without our written consent.
22. Force Majeure
We are not liable for failure or delay caused by events beyond our control (e.g., natural disasters, outages, legal restrictions).
23. Miscellaneous
You may not assign this Agreement without approval.
Amendments must be in writing.

If any part is unenforceable, the rest remains in effect.
This Agreement is the complete agreement between us.
