CARLUEX Affiliate Program Agreement1. Enrollment
The Program is run via ShareASale.com Inc. ("ShareASale").
Agreement becomes effective once ShareASale accepts your affiliate application and you begin participation.
“We,” “us,” “our” = CARLUEX (PANDA GOGO LIMITED); "Affiliate," “you,” “your” = applicant/partner.
2. Linking and Participation
You must register with ShareASale and be approved by CARLUEX to link and participate.
Applications may be rejected without explanation, especially if your site includes unlawful, harmful, defamatory, harassing, discriminatory, or objectionable content.
For privately registered domains, your email username domain must match the URL domain submitted.
3. Affiliate Marketing Activities
a. Restrictions:
Marketing activities can be further limited by ShareASale’s Affiliate Network Agreement.
b. Ownership of Materials:
All images, product names, trademarks, slogans, designs ("Material") belong to CARLUEX or licensors.
Affiliate may only use these materials as specified; misuse (e.g., using trademarks in domain names) is prohibited.
4. CARLUEX Trademarks & PPC Bidding Policy
a. Permitted:
Affiliates may bid on manufacturer-specific terms if permitted.
b. Not Permitted:
No use of CARLUEX trademarks in URLs or display URLs, e.g., www.yoursite.com/CARLUEX.
No use of www.CARLUEX.com or variations in display URLs on any PPC search or content network.
No use of “Official Site” or implying official endorsement.
No bidding on trademarked terms combined with others, e.g., “CARLUEX coupons.”
No bidding on CARLUEX URLs such as www.CARLUEXshop.com or variants.
No Product Listing Ads (PLAs) or Shopping Ads involving CARLUEX data feeds.
No use of CARLUEX brand feeds on Consumer Shopping Engines (CSEs).
No use of browser toolbars, add-ons, plug-ins, or extensions referencing CARLUEX.
No reseller or auction activities to manipulate pricing.
Orders must be fulfilled only on CARLUEX-owned websites; no order taking or fulfillment by affiliates.
No link cloaking; all referrals must show correct clicked-from URLs.
CARLUEX may void or reverse commissions for fraudulent or canceled orders.
c. Direct Linking:
Not allowed on search engines or social media sites (including Facebook, Instagram etc.) to CARLUEX directly.
Not allowed via email, newsletters, or any form of electronic promotion.
d. Geo-targeting and Day Parting:
Allowed if complying with all policies including trademark and URL restrictions.
Cannot use these tactics to evade enforcement; violations can lead to removal and commission reversals.
e. Ad Copy and Content Restrictions:
Affiliates must be truthful in advertising, including rebates and coupons.
Ads must not imply official CARLUEX endorsement.
f. Penalties & Notifications:
CARLUEX reserves sole discretion to enforce PPC policy and exclude affiliates.
Violations can result in commission reduction to zero, termination, and retroactive reversals.
Changes to policy communicated via newsletter/email with a 7 business day compliance window.
Violations can be reported by any party; affiliates should keep proof such as screenshots.
g. Online Organic Links:
Use of CARLUEX trademark terms in organic search must be fair, non-misleading, and consistent with US trademark law.
Titles and descriptions must match real offers via the affiliate network.
Violations may lead to commission reversal or program removal.
h. Social Media:
Only link back to the affiliate’s own website from social media promotions—no direct CARLUEX linking or cookie dropping on social pages.
Violations risk commission reversal or removal.
i. Email Marketing:
No email advertising or promotions without prior explicit written consent from CARLUEX.
If consented, CARLUEX must be included in email distribution lists.
No unsolicited commercial email or facsimile marketing allowed.
Must comply with all relevant laws (e.g., CAN-SPAM Act).
j. CARLUEX Trademark Usage:
Must identify as “affiliate” or “aff.” in any use involving CARLUEX reference.
No use of trademarks in meta tags, hidden text, URLs, or domains without express permission.
No representation of direct CARLUEX endorsement.
Violators subject to suspension, payment withholding, or public notice.
5. Links and Images
CARLUEX will provide “Images” identifying your participation in the Program via ShareASale.
You must cooperate in maintaining these links; use only provided images.
Remove or replace images upon request.
Ad banner codes cannot be altered to ensure proper conversion tracking.
Links must not alter CARLUEX site functionality or appearance.
No user-generated, subscription or scraped codes on CARLUEX pages.
Only official coupon codes from CARLUEX/ShareASale may be promoted.
Violations can cause commission reversal or removal from program.
6. Affiliate Obligations
Place affiliate links within 30 days of acceptance.
Actively use promotional links provided via ShareASale.
Responsible for all costs and expenses related to your participation.
Ensure your site content does not infringe third-party rights or violate laws.
Maintain updated registration and website info.
No creating impression that visitors are on or endorsed by CARLUEX official sites.
Must sign annual certification if requested.
7. Affiliate Code of Conduct — Prohibited Activities
No spyware/adware/parasite ware for traffic generation.
No site modification or traffic interception software.
No relationships causing error traffic redirecting visitors.
No misleading endorsements using CARLUEX trademarks without approval.
No cookie stuffing or tracking manipulation methods.
No publishing malicious software or unsafe links.
No unauthorized use of widgets or CARLUEX materials.
No promotion near objectionable content (hate speech, pornography, violence, tobacco, alcohol, gambling).
Violations lead to immediate termination and forfeiture of unpaid commissions.
8. Publicity
No creation, publication, or distribution of CARLUEX-related materials without explicit written consent (except official materials through ShareASale).
9. Policies and Pricing
Customers through the Program belong to CARLUEX; CARLUEX controls customer data.
You have no rights to customer data or authority to quote prices/offers without approval.
Referral questions and customer service issues must be directed to CARLUEX.
Violations can lead to withheld commissions or termination.
10. Commission Payment
ShareASale handles all commission payments and is solely responsible for them.
CARLUEX is not liable for commission payments.
11. License and Use of Logos and Trademarks
Limited, non-exclusive, revocable license to use CARLUEX trademarks and links solely for promotion.
No copying, altering, or forming derivative works.
No use that disparages CARLUEX or misleads consumers.
CARLUEX can revoke license anytime.
You agree not to challenge CARLUEX trademark validity or register confusingly similar marks.
CARLUEX may seek legal equitable relief for breach of trademark terms.
CARLUEX may use your names/logos/trademarks to promote your participation; no obligation.
License runs concurrently with the Agreement term.
12. Term and Termination
Effective upon ShareASale approval, valid until voluntary exit or termination.
Either party can terminate with or without cause by notice.
No commissions after termination except for valid sales before termination.
CARLUEX may withhold final payments pending fraud investigation.
Upon termination, remove all CARLUEX materials and stop use of trademarks.
13. Program Modification
CARLUEX may modify the Agreement or Program terms at any time.
Affiliates will be notified via email about changes.
Continuing the program after notification implies acceptance.
Affiliates have 7 business days to comply.
14. Relationship of Parties
Independent contractors; no partnership, agency, employment, or franchise relationship created.
No authority to bind or represent CARLUEX.
15. Representations and Warranties
Both parties have authority to enter Agreement and grant rights.
Affiliates guarantee site contents: no infringement, no illegal content, no defamatory or hate speech, no viruses or malicious code.
Affiliate complies with applicable privacy laws and displays privacy policy.
CARLUEX disclaims liability for your site or products.
CARLUEX may enter into similar agreements with competitors freely.
16. Confidentiality
All business, customer, pricing info is confidential unless publicly known or required by law.
Confidential info may be shared under subpoena, with agents, or as legally required.
17. Disclaimer and Limitation of Liability
CARLUEX makes no warranties for program, site, or products/services.
Not liable for interruptions, errors, or damages (direct or indirect).
Your sole remedy is termination of participation.
18. Indemnification
You indemnify and defend CARLUEX and affiliates from any third-party claims related to your breach.
19. References / Testimonials
You agree to cooperate in marketing materials creation.
CARLUEX has unlimited rights to reference you without further compensation.
20. Integration
This is the entire Agreement superseding all previous communications regarding the Program.
21. Acknowledgment and Acceptance
By submitting the application, you confirm authority to bind and accept all terms, conditions, and disclosures.
