Program Terms

Cozi Affiliate Program Terms (AWIN)


Parties: Cozi Inc., a Minnesota corporation ("Cozi," "we," "us") and the approved affiliate ("Affiliate," "you").

1. Joining the Program

1.1 Enrollment via AWIN. You apply through AWIN to join Cozi’s program. We may approve or reject any application in our sole discretion. You must keep your AWIN and contact details accurate and current.

1.2 Hierarchy of Terms. These Terms, the Program Schedule (Exhibit A), and AWIN’s Publisher Terms/Policies are incorporated by reference. If there’s a conflict, the stricter term that best protects users and brand integrity applies, except that payment mechanics (e.g., rates, cookie windows) are governed by the Program Schedule/AWIN settings.

1.3 Employees. Employees, officers, and contractors of OurFamilyWizard, LLC or Cozi Inc. may not participate.

2. Compliance & Standards

2.1 Disclosures. You must make clear and conspicuous disclosures of your affiliate relationship wherever links or endorsements appear, compliant with FTC Endorsement Guides (16 C.F.R. Part 255) and, as applicable, ASA/CAP, CMA, and other local laws.

2.2 Data Privacy & Cookies. Each party acts as an independent controller of personal data it collects and must comply with applicable laws, including GDPR, CCPA/CPRA, ePrivacy, CAN‑SPAM, CASL, and TCPA. Where you place cookies/trackers, you must obtain any legally required consent and honor signals such as valid opt-out or Global Privacy Control where applicable.

2.3 Security & Breach Notice. Maintain appropriate technical and organizational security measures. Notify Cozi without undue delay (and in any case within 72 hours where required by law) of any incident affecting program-related personal data.

2.4 Platform Rules. You must comply with all applicable platform and network rules (including AWIN policies and the terms of search engines, social networks, app stores, and ad platforms).

3. Brand Safety & Content Standards

3.1 Prohibited/Unsuitable Content. You may not promote Cozi on properties that contain or link to: adult content; violence or hate; harassment; illegal drugs/paraphernalia; weapons; gambling; counterfeit/illegal goods; malware/spyware; plagiarism/essay mills; incentivized clicking/surfing schemes; or any content that is illegal, infringes rights, or would reasonably harm Cozi’s reputation.

3.2 No Coupon/Deal Sites. Cozi does not permit affiliates who operate coupon, voucher, or deal‑only websites. Participation from such sites will be rejected or terminated immediately.

3.3 No Sub‑Affiliates or Networks. Cozi does not permit the use of sub‑affiliate networks, media partners, or traffic brokers. You may not delegate or resell program participation. Any such activity results in immediate termination.

4. Advertising Rules

4.1 No PPC Bidding. Affiliates are strictly prohibited from engaging in any pay‑per‑click (PPC) advertising or similar search engine advertising on behalf of Cozi. This includes but is not limited to:

Bidding on “Cozi,” “Cozi Family Organizer,” “OurFamilyWizard,” or any misspellings/variants.

Bidding on competitor brand terms with the intent to drive traffic to Cozi.

Placing any Cozi links within sponsored ads, shopping ads, or search placements.

4.2 Direct Linking & Landing Pages. Because PPC advertising is not permitted, affiliates may only promote Cozi through their owned and operated websites, social media, or email channels, subject to compliance with this Agreement. Direct linking to Cozi from search ads is prohibited.

4.3 Remarketing/Retargeting. Remarketing campaigns tied to search engines or paid ad platforms are not permitted. Affiliates may not create or manage remarketing audiences referencing Cozi.

4.4 SEO Conduct. Affiliates may promote Cozi through organic SEO and content marketing but may not replicate Cozi’s website, create confusingly similar microsites, or mislead users into believing they are interacting with Cozi directly.

4.5 Email & Messaging. No unsolicited email/SMS. Campaigns must comply with CAN‑SPAM/CASL/TCPA and platform rules, honor opt‑outs, include lawful sender identification, and use only Cozi‑approved creative when requested. Provide samples on request.

4.6 Social & Influencers. Disclose the partnership (e.g., #ad, #CoziPartner) clearly and near the endorsement. Comply with platform branded‑content tools where required. Do not imply endorsement by Cozi employees or misrepresent as “official.”

4.7 Prohibited Techniques. No ad hijacking, brand impersonation, cookie stuffing, forced clicks, toolbar/plug‑in injection, traffic laundering, bot/invalid traffic, or offer‑wall/incentivized installs unless expressly approved.

5. Program Assets & Intellectual Property

5.1 Links & Creative. Use only AWIN‑provided tracking links, pixels, product feeds, and creative as made available by Cozi. Do not alter tracking parameters. Remove or replace assets promptly upon notice.

5.2 License to You. During the Term, Cozi grants a limited, non‑exclusive, non‑transferable, revocable license to use Cozi’s name, logos, and creative solely to promote Cozi in accordance with this Agreement.

5.3 License to Cozi. You grant Cozi a non‑exclusive right to reference your name and logo to identify you as a participant in the program. Cozi has no obligation to do so.

5.4 Ownership. Except for the limited licenses above, each party retains all right, title, and interest in its IP. You will not challenge Cozi’s rights in its marks or register confusingly similar marks or domains.

6. Commissions, Tracking & Payment

6.1 Qualified Actions. You earn commissions only for Qualified Actions tracked by AWIN in accordance with the Program Schedule and AWIN settings (e.g., Qualified Registration and/or Qualified Purchase), excluding cancellations, chargebacks, duplicates, fraud/invalid traffic, or returns.

6.2 Rates & Windows. Commission rates, attribution models, and cookie/attribution windows are as stated in the Program Schedule and within AWIN. If Program settings change, new settings apply prospectively from the effective date.

6.3 Reversals & Adjustments. We may decline, reverse, or claw back commissions for breach, ineligible orders, policy‑violating traffic, or suspected fraud. We may withhold payment during an investigation.

6.4 Payment. Payments are made exclusively via AWIN according to its payment cycles and thresholds. Taxes and required forms (e.g., W‑9/W‑8) are your responsibility per AWIN rules.

7. Representations, Warranties & Audit Rights

7.1 You represent and warrant that: (a) you have authority to enter this Agreement; (b) your properties and promotions comply with applicable law and these Terms; (c) you will not infringe third‑party rights; and (d) you will promptly provide reasonable, non‑privileged information we request to verify traffic sources and compliance (e.g., traffic breakdowns, sub‑IDs, placement lists).

7.2 Cozi provides the program “as is” without warranties of any kind, express or implied (including merchantability, fitness, non‑infringement, or uninterrupted operation).

8. Term, Termination & Remedies

8.1 Term. Begins on approval in AWIN and continues until terminated.

8.2 Termination for Convenience. Either party may terminate at any time upon written notice (including AWIN messaging).

8.3 Immediate Termination. We may suspend or terminate immediately for any material breach, prohibited activity, fraud/invalid traffic, brand harm, or legal risk. Upon termination you must cease use of Cozi assets and remove links and codes promptly.

8.4 Effects; Withholding; Clawback. On termination, unpaid commissions for non‑qualified or disputed transactions may be withheld or reversed. Our other rights and remedies (injunctive, equitable relief; indemnity) remain available.

9. Indemnity & Limitation of Liability

9.1 Indemnity. You will indemnify, defend, and hold harmless Cozi, its affiliates, and their officers, directors, and employees from claims, damages, fines, costs, and expenses (including reasonable attorneys’ fees) arising from your properties, content, promotions, breach of this Agreement, or violation of law.

9.2 Cozi IP Indemnity. Cozi will defend third‑party claims alleging that unmodified Cozi‑provided creative infringes IP rights, and will settle or pay final judgments, provided you promptly notify us and cooperate. This is your exclusive remedy for such claims.

9.3 Limitation. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue/data. Cozi’s aggregate liability under this Agreement shall not exceed the commissions paid to you by AWIN for the three (3) months preceding the claim.

10. Confidentiality

Non‑public information disclosed by a party and marked or reasonably understood as confidential must be protected and not used except to perform this Agreement. Exclusions include information that is public without breach, independently developed, or obtained lawfully from a third party. Disclosures required by law are permitted with prompt notice where lawful.

11. General

11.1 Independent Contractors. The parties are independent contractors. No agency, partnership, or joint venture is created.

11.2 Assignment. You may not assign or transfer this Agreement without Cozi’s prior written consent. Cozi may assign to an affiliate or in connection with a merger/asset transfer.

11.3 Modifications. We may update these Terms or the Program Schedule by notice (including via AWIN). Continued participation after the effective date constitutes acceptance.

11.4 Governing Law & Venue. This Agreement is governed by the laws of the State of Minnesota, without regard to conflicts rules. The parties consent to exclusive jurisdiction and venue in state or federal courts located in Hennepin County, Minnesota for disputes not subject to arbitration (if arbitration is later added by mutual written agreement).

11.5 Notices. Notices may be sent via AWIN messaging or to the addresses below (or as updated in writing):

11.6 Entire Agreement; Severability; Waiver. This Agreement (including Exhibit A and incorporated policies) is the entire agreement for the program. If any provision is unenforceable, the remainder stays in effect. No waiver is effective unless in writing.

11.7 Survival. Sections 2–11 and Exhibit A survive termination.

Exhibit A — Program Schedule (Fill‑In)

Program Objective: [e.g., Qualified Registration bounty and/or Paid Subscription/Upgrade]

Commission Structure:

Qualified Registration: $[amount] per valid new account (one per natural person/device).

Qualified Purchase: [x%] of net purchase price (excluding taxes, shipping, refunds).

Tiering/Bonuses: [e.g., volume tiers or limited‑time promos].

Attribution: As configured in AWIN (e.g., last‑click within [XX]‑day cookie window; cross‑device as supported). Direct or house‑list channels may override affiliate attribution at Cozi’s discretion.

Validation Window & Reversals: Transactions are validated within [X] days post‑event; cancellations/chargebacks/duplicates/fraud are reversed.

Creative & Feeds: Use only AWIN‑hosted links/creatives. Deep links permitted. No modification of tracking parameters.

Restricted Terms (examples):
"cozi", "cozi family organizer", "cozi.com", "ourfamilywizard", misspellings/typos, and competitor brand terms as notified.

Traffic Prohibitions (summary):
No coupon/deal sites; no sub‑affiliates; no PPC or brand bidding; no domains/apps/handles using Cozi marks; no toolbar/injection; no cookie stuffing; no incentivized clicks/installs without written approval; no adult/hate/illegal content; no unsolicited email/SMS.
