LoveIt CoverIt – Affiliate Program Terms and Conditions

These Terms and Conditions govern your participation in the affiliate program (‘the Program’) offered by loveit coverit, a company registered and operating under the law of England and Wales, with its principal office at Evolution House, 11 New Garrison Road, Shoeburyness, Southend-on-Sea, SS3 9BF (‘the Company’). loveit coverit is a division of Pier Insurance Managed Services Limited who are authorised and regulated by the Financial Conduct Authority FRN 311798.

By participating in our affiliate program, you (‘the Affiliate’) agree to be bound by the Terms and Conditions outlined henceforth. If you do not agree with these Terms and Conditions, you should not enrol or participate in the Program.


Enrolment in the Program

To become an Affiliate, you must submit an application to the Company through Affiliate Window at www.awin.com (‘the Affiliate Platform’) or via a direct invitation. Applicants must be a business entity or a legally registered individual capable of entering into binding agreements. The Company reserves the right to accept or reject any application at its sole discretion, for any reason.

Once an application has been accepted, the Affiliate will be granted access to the necessary materials, such as affiliate links, banners and promotional content to promote the Company’s products and services. The Affiliate will also be given Customer Facing Terms and Conditions in which it is obligated to use when making any sale of the Company’s products or services.


Affiliate Obligations

The Affiliate agrees to promote the Company’s products and services by placing affiliate links, banners and other promotional content on its website, marketing channels and platforms, as approved by the Company.

The Affiliate agrees to comply with all applicable laws and regulations including, but not limited to, advertising legislation, data protection and consumer protection regulations in the Affiliate’s jurisdiction.

The Affiliate agrees to refrain from engaging in any fraudulent, unethical or illegal activities, including, but not limited to:

· click fraud, cookie stuffing or misleading promotions;

· infringement on the Company’s trademarks or intellectual property; and

· spamming or sending unsolicited communications.

The Affiliate agrees to use only the marketing materials provided or approved by the Company. The Affiliate is not authorised to create or modify any promotional content without prior approval from the Company.

The Affiliate is responsible for ensuring that its website does not include any false, inaccurate, libellous, misleading or disparaging representations or statements regarding the Company. If the Company requests the removal of any materials or content, the Affiliate must comply within three days of such notification.

The Affiliate agrees to refrain from using their own affiliate link to purchase items and generating commission from their own purchases and misusing the Affiliate Program.


Commission Structure

The Affiliate is able to promote and receive commissions on the following products from loveit coverit:

· Gadget Insurance

· Mobile Phone Insurance

· Travel Insurance

The Company will pay the Affiliate a commission for only valid sales generated through the Affiliate’s efforts. The specific commission structure, including rates and payment terms are outlined within the Affiliate Platform. The Company will validate sales only if the consumer has purchased a policy directly from the Affiliate’s link, which can be tracked by the Company.

Commissions are calculated based on actual valid sales that are tracked through the Company’s internal policy database and can be seen via the Affiliate Platform. In cases of returns, chargebacks or fraud, the Company reserves the right to adjust or withhold commissions. Commissions will be paid in GBP and any conversion fees or taxes shall be the responsibility of the Affiliate.

Commissions are subject to a pending period and will be paid to the Affiliate within 30 days of the valid sale, providing that the policy is not cancelled by the customer during this time. The Affiliate is responsible for providing accurate payment details and the Company reserves the right to modify the payment method or schedule at its discretion. Commissions will not be paid for policy renewals, as these are driven by the quality of the product or service provided by the Company, rather than the Affiliate's introduction. Additionally, cashback and rewards only apply to new policies. This provision also applies where a policyholder cancels a current policy and purchases a new one including the same or, in apparent circumstances, similar package details.


Our PPC Policy

The Company is committed to safeguarding its brand and, as such, does not allow any sponsored search activity that involves bidding on search terms such as “loveit coverit” or any variations or misspellings of “loveit coverit”, related brand names or any website managed by Pier Insurance Managed Services Limited or its subsidiaries. This term applies to search engines such as Yahoo (YSM), MSN (Bing), Google and any other paid listings or pay-per-click platforms.

The only exception to this is if an Affiliate has obtained express written permission from the Company and has a formal agreement in place to conduct such activities.


Term and Termination

Compliance with these Terms and Conditions shall commence on the date the Affiliate is accepted onto the Program and will continue until participation is terminated by either party as outlined below.

Either the Company or the Affiliate may terminate the Affiliate’s participation with the Program at any time by providing written notice to the other party. Upon termination, the Affiliate shall immediately cease all promotional activities related to the Company’s products and services.

The Company may terminate the Affiliate’s participation in the Program immediately if the Affiliate:

· breaches any material term of these Terms and Conditions;

· engages in any unethical or illegal conduct; or

· engages in activities that damage the Company’s reputation or violate any applicable laws.

Upon termination, the Company will pay the Affiliate any outstanding commission for sales made before the termination in accordance with the payment terms.


Intellectual Property

The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company’s trademarks, logos and other intellectual property solely for the purpose of promoting the company’s products and services, in accordance with these Terms and Conditions.

The Affiliate shall not use the Company’s trademarks, logos or other intellectual property in any manner that is likely to cause confusion or harm to consumers or the Company’s reputation, nor shall it imply any endorsement or partnership that does not exist.

All intellectual property rights in the Company’s trademarks, logos and other relevant materials remain the exclusive property of the Company.

Affiliates are responsible for ensuring that all loveit coverit materials are up to date on their websites. Audits may be conducted to ensure that the Affiliates are displaying the correct version of content at all times.


Confidentiality

During the course of the Affiliate’s participation in the Program, each party may share proprietary or confidential information with the other, but only where it is necessary to do so. Both parties agree to maintain the confidentiality of this information and use it solely for the purposes outlined in these Terms and Conditions.

Confidential information does not include information that is publicly available or disclosed without breach of these Terms and Conditions, or information that the receiving party lawfully receives from a third party.


Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms and Conditions shall be resolved through litigation in the jurisdiction of England and Wales.


Amendments

The Company reserves the right to modify or amend these Terms and Conditions at any time. If the Company makes any material changes, the Affiliate will be notified through the Program Portal seven days prior to the amendments come into effect. The Affiliate’s continued participation in the Program after any such modifications or amendments will constitute acceptance of the revised Terms and Conditions.


Miscellaneous

These Terms and Conditions represent the entire understanding between the parties and supersedes all prior agreements or discussions regarding the Program.

If any provision is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. Failure by either party to enforce any provision shall not constitute a waiver of that provision or any other provisions.

By enrolling and participating in the Affiliate Program, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions.
