This Program Agreement ("Agreement") is entered into by and between Kate Marker Home ("Merchant"), and any person or entity who completes the ShareASale affiliate registration process to become an affiliate ("Affiliate") of the Merchant's program ("Program"). This Agreement sets forth the terms and conditions that govern the relationship between Merchant and Affiliate.
Program Enrollment
To enroll in the Program, Affiliate must submit an application through ShareASale and receive acceptance from the Merchant. Merchant reserves the right to accept or reject any application for any reason.
Program Participation
Once accepted into the Program, Affiliate agrees to promote Merchant's products and services in accordance with the terms of this Agreement. Affiliate may promote Merchant's products and services on its website, through email marketing, social media, and other channels, subject to the restrictions set forth in this Agreement.
Promotion Guidelines
Affiliate agrees to only promote Merchant's products and services in a manner that is legal, ethical, and in compliance with all applicable laws, rules, and regulations. Affiliate shall not engage in any activities that could harm the reputation of Merchant or its products and services.
Commissions
Merchant will pay Affiliate commissions on sales generated through Affiliate's promotional efforts, subject to the terms of this Agreement. Commission rates and payment terms are set forth in the ShareASale platform and may be modified by Merchant at any time.
Tracking and Reporting
Merchant will provide Affiliate with access to tracking and reporting tools through ShareASale. Affiliate shall use these tools to monitor its promotional efforts and commissions earned. Merchant shall have the right to rely on the data provided by ShareASale to determine Affiliate's commissions.
Termination
Either party may terminate this Agreement at any time, for any reason, by giving written notice to the other party. Merchant may terminate Affiliate's participation in the Program immediately if Affiliate violates any of the terms of this Agreement.
Confidentiality
Affiliate agrees to keep all confidential information related to Merchant's business and products, including but not limited to customer data, pricing information, and marketing strategies, confidential and not to disclose such information to any third party.
Liability and Indemnification
The Merchant shall not be liable for any damages, losses, or expenses arising from the Affiliate's participation in the program, except to the extent that such damages, losses, or expenses are caused by the Merchant's willful misconduct or gross negligence.
