1. Participation in the Program. The Affiliate agrees to participate in the Program and market the Company's products and services to potential customers using the links, banners, and other promotional materials provided by the Company.2. Compensation. The Affiliate shall be entitled to receive a commission for each sale made through its unique affiliate link. The commission shall be a percentage of the sale price, as set forth in the Program's terms and conditions. 3. Restrictions. The Affiliate agrees to comply with all applicable laws and regulations, including without limitation, those related to advertising, marketing, and the use of personal data. The Affiliate shall not engage in any fraudulent or deceptive practices, including but not limited to the use of misleading or false advertising.4. Prohibited Activities. The Affiliate shall not engage in any of the following activities:(a) Spamming, including but not limited to, sending unsolicited emails, social media messages or making unsolicited phone calls to promote the Company's products and services;(b) Using any form of spyware, adware, or malware to promote the Company's products and services;(c) Engaging in any illegal or unethical activities that could harm the Company's reputation;(d) Engaging in any activity that could damage the Company's website or disrupt the normal operation of the Program.5. Term and Termination. This Agreement shall commence on the date of acceptance by the Affiliate and shall continue until terminated by either party upon notice to the other party. The Company may terminate this Agreement immediately upon the Affiliate's breach of any of the terms and conditions set forth herein.6. Intellectual Property. The Affiliate acknowledges that the Company's trademarks, trade names, logos, and other intellectual property rights are the exclusive property of the Company. 7. Confidentiality. The Affiliate agrees to keep all information received from the Company confidential, including but not limited to, customer information and sales data.8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is incorporated.10. Independent Contractor. The Affiliate is an independent contractor and is not an employee or agent of the Company. The Affiliate shall be solely responsible for the payment of all taxes arising from its participation in the Program.
