This Affiliate Agreement (the "Agreement") is made and entered into by and between Earth Rangers, ("Merchant"), and the individual or entity agreeing to the terms of this agreement and participating in the Merchant's affiliate program ("Affiliate").
Enrollment in the Affiliate Program
To begin the enrollment process, the Affiliate will submit a completed Affiliate Program application via the ShareASale network. The Affiliate's application will be reviewed and, if approved, they will be enrolled in the program.
Affiliate's Responsibilities
The Affiliate agrees to comply with all applicable laws, regulations, and policies related to their participation in the program. The Affiliate will also be responsible for creating and maintaining their own website or other means of promoting Merchant's products and services.
Merchant's Responsibilities
The Merchant agrees to provide the Affiliate with access to promotional materials, tracking links, and other resources needed to promote Merchant's products and services. The Merchant will also be responsible for tracking sales and paying commissions to the Affiliate.
Commission
The Affiliate will receive a commission on sales made through their unique tracking link, as outlined in the program details on ShareASale. The commission rate may be modified by Merchant at any time by providing notice to the Affiliate.
Payment
Payments will be made to the Affiliate by ShareASale according to their payment schedule. Merchant will not be responsible for payment of any taxes owed by the Affiliate on commissions received.
Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written or electronic notice to the other party. Upon termination, the Affiliate will no longer be eligible to earn commissions on sales made through their tracking link.
Representations and Warranties
The Affiliate represents and warrants that they have the authority to enter into this Agreement and to promote Merchant's products and services. The Affiliate also represents and warrants that their website or other means of promotion does not infringe on the intellectual property rights of any third party.
Limitation of Liability
Merchant will not be liable to the Affiliate for any indirect, special, or consequential damages arising from their participation in the program, regardless of whether such damages are based on contract, tort, or any other legal theory.
Governing Law and Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of the state of [Merchant Company State]. Any legal action arising out of or related to this Agreement will be filed in the state or federal courts located in [Merchant Company State].
By submitting an application to participate in the Merchant's affiliate program, the Affiliate agrees to be bound by the terms and conditions of this Agreement.
