Partner Agreement for Pickup Music Inc. Affiliate Program
This agreement ("Agreement") is entered into by and between Pickup Music Inc. ("Company") and the affiliate ("Affiliate"). By applying to join the affiliate program ("Program"), Affiliate agrees to the terms and conditions of this Agreement.
Program Description
The Program allows Affiliates to promote Company products and earn commissions on sales generated through their unique affiliate links.
Affiliate Responsibilities
2.1 Affiliate will only use ethical and lawful means to promote Company products.
2.2 Affiliate will not engage in any activity that may harm the Company's reputation or that of its products.
2.3 Affiliate will not promote Company products through unsolicited emails, spamming, or any other form of unauthorized advertising.
2.4 Affiliate will not use any brand keywords of Pickup Music or its competitors for advertising or promotion purposes. This includes but is not limited to keywords containing "Pickup Music", "Pickup Jazz", "Pickup", "Pickup Beats", or similar. The Affiliate is also not allowed to advertise Pickup Music on a coupon website. Furthermore, Affiliate is not allowed to use Pickup Music's instructors names or course titles as a keyword for Pay-Per-Click (PPC) campaigns. Affiliates can access the list of Pickup Music instructors and courses at https://www.pickupmusic.com/instructors.
2.5 Company reserves the right to exclude Affiliates from the Program without reason at any time.
2.6 An advertisement of Pickup Music may not show on pages that contain any form of nudity, racism, hate speech, political content, violence, or homophobic content.
2.7 Affiliate is only allowed to use the provided materials from Pickup Music Inc. to advertise Pickup Music.
2.8 The Affiliate is not employed or has an employment-like relationship with Pickup Music. The Affiliate works on their own account.
ShareASale
3.1 ShareASale acts as the technological intermediary between Pickup Music and the Affiliate.
3.2 The Affiliate Network and ShareASale technology is used.
3.3 The tracking of conversions and payment of commission is handled via ShareASale.
3.4 Pickup Music acts as a merchant on ShareASale.
Commission
4.1 Affiliate will earn a commission on all eligible sales generated through their unique affiliate link. A free trial user at Pickup Music is not a lead. A lead is defined as when the referred user converts into a paying member at Pickup Music after the trial. Commission will only be paid on leads that meet the eligibility criteria outlined in this agreement.
4.2 Commission rates may vary based on product and promotion.
4.3 Commission payments will be handled by Share-A-Sale and are subject to their terms and conditions.
Termination
5.1 Either party may terminate this Agreement at any time, for any reason, with notice.
5.2 Company may terminate this Agreement immediately if the Affiliate breaches any of the terms of this Agreement.
5.3 Upon termination, Affiliate will forfeit all unpaid commissions earned through the Program.
Confidentiality
6.1 Affiliate acknowledges that during the course of their participation in the Program, they may receive confidential information from the Company.
6.2 Affiliate agrees to keep all such information confidential and not to disclose it to any third party.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of California, United States, without regard to its conflicts of laws principles.
By joining the Program, Affiliate acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement.
