Introduction
This agreement outlines the relationship between Thaya, and the Affiliate, who will promote the Merchant's products on their website or social media platform and earn commission through ShareASale's platform.
Application Process
The Affiliate can apply to join the Merchant's affiliate program by registering an account on ShareASale's website and searching for the Merchant's program. The Merchant reserves the right to approve or reject any application at its discretion.
Terms and Conditions
The Affiliate must disclose their involvement with Thaya to their website or social media visitors.
Commission: Thaya will pay the Affiliate a commission of 15% of the total order value for each sale successfully referred through the Affiliate's unique link on ShareASale's platform.
Thaya will pay out commissions for sales made in the previous month by the 30th day of each month. The Affiliate may choose to receive payment via electronic transfer.
The Affiliate may not promote Thaya's products in a false or misleading manner.
Thaya reserves the right to change the commission rate and program terms but will notify the Affiliate in advance.
The Affiliate may not use any unauthorized advertising materials, trademarks, or trade names belonging to Thaya.
Marketing Rules
The Affiliate may promote Thaya's products on their personal website or social media platform and use their unique link to direct traffic and sales.
Thaya prohibits the use of the Merchant's brand keywords, trademarks, or derivatives thereof in any form of paid search advertising.
The Affiliate may not use Thaya's products for illegal purposes or engage in unethical promotion activities.
Intellectual Property
Thaya retains ownership of all trademarks, trade names, advertising materials, and marketing collateral. The Affiliate may not copy, modify, distribute, or resell any of these materials.
Termination Clause
Thaya reserves the right to terminate the affiliate relationship with the Affiliate at any time without notice if the Affiliate violates any terms and conditions outlined in this agreement.
Miscellaneous Provisions
This agreement is governed by the laws of the United States and shall be subject to the exclusive jurisdiction of the state courts without a conflict resolution organization.
If any provision of this agreement is deemed invalid or unenforceable, that provision will be removed from this agreement, but all other provisions will remain valid and enforceable.
This agreement constitutes the entire agreement between the Merchant and Affiliate and supersedes all prior oral and written agreements.
