SmallRig Affiliate Program Agreement
This SmallRig Affiliate Program Agreement is made by and between those who have signed up for the SmallRig affiliate program via https://www.shareasale.com/ (The "Affiliate", "you") and Shenzhen Leqi Network Technology Co. Ltd ("SmallRig", "us", "we"). It describes how we will work together and other aspects of our partner relationship.
WHEREAS:
The SmallRig Affiliate Program Agreement applies to your participation in our Affiliate Program (the "Affiliate Program") and gets your personalized tracking through your website and other social media links to start earning a generous commission based on successful orders made by customers you refer. These terms are so important that we cannot have you participate in our Affiliate Program unless you agree to them.
We periodically update these terms. If we update the terms, we will let you know via electronic means, which may include an in-app notification or by email. If you don't agree to the update or replacement, you can choose to terminate as we describe below.
1. Applying for our Program
You are applying for our Affiliate Program right now. Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted to participate in the Affiliate Program, or not. Before we accept an application, we may want to review your application with you, so we may reach out to you for more information. We may require that you complete certain requirements or certification(s) before we accept your application. If we do not notify you within fifteen (15) days of your application, your application is considered to be rejected.
If you are accepted to participate in the Affiliate Program, then upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect, until terminated, according the terms set forth below.
We reserve the right to decline or remove enrollment from our program at our discretion. As soon as your application is accepted, you can start sharing your affiliate link (hereinafter referred to as “Referral Link”or“URL”) and earning affiliate commissions.
2. Use Resources and Track Performance
In the LINKS section on the top bar lies materials you will need to promote our site and our products, such as links, banners, etc. You can also create custom links directing to the specific pages of SmallRig website. If you are going to post URLs instead of text links, please make sure to post the full URL, so that your sales and traffic can be tracked.
Upon your promotional practices, you can check the reports that display the essential information in your ShareASale account, including the Weekly Progress field where you can check on the clicks, commissions, gross/net sales, number of sales, and voids, the Activity Details field that outlines all the interactions and compensation you’ve made based on the programs, and more.

3. Commissions & Payouts
As you send traffic (web users who visit a website) to our website(https://www.smallrig.com/) via your referral link, you will receive credits for valid purchases, which refers to paid and completed transactions excluding unpaid, canceled, or refunded orders, with commissions calculated based on the product value and excluding the value of free gift product and shipping fees. Your referral orders will be reflected in real-time in your REPORTS section.
When a prospect visits our site from your Referral Link, we will be able to register their purchase (if/when they make one) within 30 days since they clicked your link, and credit the sale to you. However, we use the last-click attribution model to choose which affiliate we give credit to. For example, if Max (customer) clicks Sally's affiliate URL, but later clicks Mary's link and makes a purchase, then the sale will be credited to Mary. That also means a single sale will be credited to a unique affiliate.
As your Referral Link generates sales, you will earn a 7% commission on sales. You will get paid through ShareASale on Pay Day, the 20th day of each month, for the previous month’s transactions. If the Pay Day is a U.S. holiday or a weekend, then payments are made on the following business day. Before that, we will compare your referral orders to SmallRig’s own order system to make sure that they are valid purchase. If they don’t meet the criteria of valid purchase, we will make necessary edits on these referral orders. Your commissions will be calculated on valid purchases paid for longer than 30 days. The payment will be issued by ShareASale, and we don’t manage the process nor cover the additional fees that might occur. You can get paid in 4 ways according to ShareASale:
1. Physical Check sent via United States Postal Service
2. Physical Check sent via FedEx (additional fees required)
3. Direct Deposit
4. Payoneer

4. Pay-Per-Click ("PPC") Guidelines
If you are enrolled in this program and participate in PPC advertising, you must adhere to our PPC guidelines and may not do as follows without our prior written approval:
a.You may not bid on any of our Trademark, including any variations or misspellings thereof for search or content-based campaigns on Google, MSN, or any other network.
b.You may not use our Trademark in sequence with any other keyword. (i.e. SmallRig coupon, SmallRig discount, SmallRig sale, SmallRig handle)
c.You may not use our Trademarks in your ad title, ad copy, display name or as the display URL.
d.You may not bid in any manner appearing higher than SmallRig for any search term in position 1-5 in any auction-style PPC advertising program.
e.If you automate your PPC campaigns, it is your responsibility to exclude our Trademark from your PPC advertising program and we strongly suggest you add our Trademark as negative keywords. If you engage in PPC trademark bidding that uses our Trademark, we may terminate your participation in the program.
f.For first-time violations, SmallRig will provide a warning along with an explanation of the PPC guidelines. Affiliates must immediately rectify any non-compliant ads, and commissions may be deducted for those ads. Repeated or serious violations may lead to a temporary suspension from the program, and consistent or serious violations of the PPC guidelines may result in the termination of the affiliate's partnership.

5. Email Contact
SmallRig reserves the right to send emails to you for the purposes of informing you of applicable changes or additions to the service or any www.smallrig.com related products and services.
6. Warranties
a.You will comply with all applicable laws and regulations, including any relevant advertising and marketing regulations.
b.You will ensure the legality of your promotional activity in channels, forms and content.
c.You must disclose to us where you are sharing your Referral Link.
We will ask you about your promotion means/channels when you are signing up for the SmallRig
affiliate program. However, if we see suspicious activity on your account, we may reach out to
you at any time asking you where your Referral Link is being shared.
d.You will not make any false or misleading representations about SmallRig, our products or services.
e.You will promptly remove any promotional materials for SmallRig upon request.
f.You will not engage in any deceptive or misleading marketing practices, including but not limited to the use of false or misleading claims, IPs and locations based fraud, automated tools that simulate actual users, spam or other unsolicited marketing methods.
g.You will not use fake or stolen credit cards.
h.You have no conflict of interest with us.
i.You will not engage in any activities that could damage the reputation or goodwill of SmallRig.
j.You will not use any confidential or proprietary information belonging to SmallRig without our express written permission.
k.You will bear all the responsibilities for infringement and any other damages if your promotional materials that are not made by SmallRig infringe upon any third party’s intellectual properties.
7. Compensation
If you breach the obligations set forth in the agreement, SmallRig has the right to refuse to pay any fees, and request you to bear all the responsibilities and compensate SmallRig for all the losses (including but not limited to the other party's loss compensation, fine and any related costs and expenses, including public relations fees, transportation fees, legal costs, attorney's fees and other reasonable expenses).
8. Disclosures
The Federal Trade Commission (FTC) has endorsement rules in place for affiliate marketing. In short, they want you to disclose that you have a business relationship with us when you promote and post your link. You can read the full FTC rules about affiliate marketing here.
When posting or sharing your link, you should make it known to your readers and followers that you will receive compensation if they buy a product via your link. 9. Terminations
We can end this relationship at any time, and so can you. This affiliate agreement has been designed to ensure the highest quality relationship between us. Hopefully, we have demonstrated our obligations to you to become a highly prosperous Affiliate.
10. Dispute Settlement
This Agreement will be governed by and construed by the laws of China, without regard to or application of conflicts of law rules or principles. Any dispute, controversy, or claim shall be resolved through negotiation to the extent possible. In the event the Parties fail to resolve any dispute arising hereunder through negotiation, each party shall apply to Shenzhen Arbitration Commission for arbitration. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure or agreement not to enforce your strict performance of any provision of this Agreement in a given instance will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
