This Affiliate Agreement ("Agreement") is made between you ("Affiliate") and Silver Cross US, operated under SilverCrossUS.com, for participation in the affiliate program through the ShareASale platform ("Program"). By joining the Program, Affiliate agrees to the terms outlined below.
1. Enrollment in the Program
To begin the enrollment process, Affiliate must submit a complete Program application through ShareASale. We reserve the right to approve or reject any application at our sole discretion. We may reject applications if we determine that your site is unsuitable for our Program, including if it promotes or includes content unrelated to baby products, parenting, or relevant lifestyle categories; contains offensive, harmful, or inappropriate material; is primarily a coupon or discount code aggregator; or offers “special deals” in exchange for clicking affiliate links.
2. Qualified Leads
Silver Cross US is committed to quality representation. As such, we require all Affiliates to deliver leads and traffic from sources that are contextually aligned with our brand and product offerings (i.e., parenting, baby gear, family lifestyle, and premium children’s products); offer authentic, organic, or editorial content relevant to our niche; and are not misleading, deceptive, or click-bait in nature. Traffic from coupon sites, cashback sites, browser extensions, toolbar-based sites, or any channel promoting “special deals” or “exclusive offers” through affiliate links is strictly prohibited and considered a material breach of this Agreement.
3. Commission and Payment
Commissions are earned on approved sales generated through valid affiliate links tracked via ShareASale. Payment terms, schedules, and rates are managed via the ShareASale platform. Any invalid, fraudulent, or prohibited traffic may result in reversal of commissions and removal from the Program.
4. Use of Promotional Materials
Affiliates may use only approved banners, logos, text links, and product information provided through ShareASale. Any alteration of promotional materials or creation of misleading claims is prohibited.
5. Prohibited Activities
The following activities are strictly forbidden: use of unauthorized or expired coupon codes; promoting any perception of a “deal” or “special offer” that does not exist on SilverCrossUS.com; bidding on branded keywords or domain misspellings in search engines; spamming or unsolicited commercial email; using pop-ups or pop-unders to drive affiliate sales; reposting or scraping our content without permission.
6. Termination
We reserve the right to terminate your participation in the Program at any time and for any reason, including but not limited to a breach of this Agreement, provision of low-quality or non-compliant traffic, or any activity that may damage the Silver Cross brand. Upon termination, all rights and licenses granted to Affiliate under this Agreement shall immediately cease, and you must remove all affiliate links and materials referencing Silver Cross US.
7. Limitation of Liability
We are not liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Program.
8. Modification
We may modify this Agreement at any time. Continued participation in the Program after any modifications constitutes acceptance of the updated terms.
9. Governing Law
This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of law principles.
10. Right to Void or Cancel Sales
Silver Cross US reserves the right to void, cancel, or reverse any affiliate-related sale at any time, for any reason, at its sole discretion. This includes, but is not limited to, sales resulting from non-compliant traffic, fraudulent activity, or behavior inconsistent with the intent and spirit of this Program.
