Old Whaling Co. Affiliate Program Agreement

Please read this entire agreement carefully before joining our Affiliate Program. We’ve written these terms in clear language so you can understand and follow them easily. Each affiliate is responsible for ensuring their employees, contractors, and partners comply with this agreement.
By submitting your application to the Old Whaling Co. Affiliate Program through ShareASale/Awin, you agree to all the terms and conditions in this agreement and acknowledge that you are legally bound by them.
1. Definitions
"We", "us", or "our" refers to Old Whaling Company LLC.
"You" or "your" refers to the affiliate partner.
"Program" refers to the Old Whaling Co. Affiliate Program.
"Our Website" refers to www.oldwhalingcompany.com.
"Your Website" refers to the site or platform you use to promote our brand.
2. Enrollment
Apply through Awin.com. We’ll review your application and respond within 48 hours. We reserve the right to accept or reject any application for any reason. To improve your chances of approval, include all your promotional platforms in your profile.
3. Website Restrictions
Your site or promotional platform may not:
Violate intellectual property or privacy rights
Contain unlawful, defamatory, obscene, or harmful content
Use malicious software or interfere with user systems
Use deceptive technology like toolbars, plug-ins, or extensions to intercept traffic
4. Brand Protection and Impersonation Policy
Old Whaling Co. is a trademarked brand built on trust, quality, and transparency. Any affiliate activity that misleads consumers, damages the brand, or impersonates Old Whaling Co. is strictly prohibited.
Prohibited actions include:
Impersonating Old Whaling Co. in ads, domains, usernames, emails, or social handles
Creating false customer service identities
Using our logos or content to imitate our website or branding
Registering domains or handles with our trademarks or confusing variants
Making misleading, defamatory, or damaging statements about our brand
Violations will result in immediate removal from the program, commission reversal, and may trigger civil legal action. We reserve the right to pursue trademark infringement or reputational damage claims to the full extent of the law.
5. Linking to Our Website
Only use links and codes from the ShareASale or Awin interface.
Do not alter or mask the referral URLs.
All domains promoting us must be listed in your affiliate profile.
Do not make your site look like ours (e.g., framing, mimicking layout, etc.).
Do not use cloaking or redirect links to hide the original traffic source.
6. PPC Guidelines
Bidding on our brand terms or misusing our trademarks in paid search is strictly prohibited.
You may NOT:
Bid on any of our trademarked terms (including misspellings)
Use our brand name with generic terms (e.g., "Old Whaling Co. coupon")
Use our brand name in ad copy, display URLs, or headlines
Direct link from PPC ads to our site
Appear above our official listing for any branded terms
Trademarked Terms: Old Whaling Company, Old Whaling Co., oldwhalingcompany.com, Old Whaling Company promo code, and all close variants.
7. Coupon Guidelines
Only promote affiliate-issued coupon codes.
Do not post misleading or expired offers.
Don’t “gate” coupons with clicks or obscure true offers.
Do not misrepresent sitewide offers or shipping deals as exclusive.
If your site ranks highly for brand + coupon terms or exceeds 25% conversion, we may assign you a reduced commission rate.
8. Coupon Attribution
Coupon affiliates will only earn commission for sales generated using valid, affiliate-issued codes. General promotions or sitewide sales may not qualify for commission.
9. Sub-Affiliate Networks
Sub-networks are permitted but must disclose all traffic sources. Sub-affiliates must follow these terms. Coupon sub-affiliates require written approval.
10. Domain Names
You may not use our brand name or any close variant in your domain or subdomain. Example:
ok: website.com/oldwhalingco
not ok: oldwhalingco-coupons.com
11. Advertising & Publicity
You may not use our brand in printed or digital materials without written permission. Email promotions must:
Comply with CAN-SPAM
Be clearly sent from your own brand
Be submitted for approval or shared with us upon request
12. Social Media Guidelines
You may promote to your own followers using affiliate links.
You may not:
Post on our official brand pages
Create fake pages or usernames with our trademark
Run paid ads using our brand name, any variation of our brand name, or any of our trademarked names such as Coastal Christmas, Coastal Calm, Portside Pumpkin, etc.
13. International Compliance
If you promote to international customers, you’re responsible for following all applicable local laws (e.g., GDPR, PECR).
14. FTC Disclosure Requirements
You must clearly disclose your affiliate relationship wherever affiliate links are used. Disclosures must:
Be near the link (above the fold)
Not be hidden in pop-ups or footers
15. Monitoring, Reversals & Termination
We reserve the right to:
Monitor your site for compliance
Request changes
Terminate your account for violations
Reverse commissions for:
Cancelled or returned orders
Fraudulent or policy-violating traffic
Misleading practices
You must respond to any compliance inquiries promptly and honestly. Failure to do so may result in your removal from the program and forfeiture of commissions.
16. Order Processing
We handle all orders, fulfillment, and customer service. Commissions are only paid on final, completed sales from affiliate links.
17. Payment Terms
We use ShareASale/Awin to track referrals and handle payments. Commissions are processed on the 20th of each month following the locking period.
18. License & Ownership
We grant you a limited, revocable, non-transferable license to use our name and creative assets for the purpose of promotion. You do not gain ownership or exclusive rights to any brand assets.
19. Liability & Indemnification
We are not liable for indirect or incidental damages. You agree to indemnify and hold Old Whaling Co. harmless against any claims related to your content or actions.
20. Confidentiality
Any non-public business, financial, or technical information marked "Confidential" must not be disclosed or shared without written consent.
21. Legal & Miscellaneous
You are an independent contractor, not an employee or agent.
This agreement is governed by South Carolina law.
We may update these terms at any time. Continued participation is your acceptance of this agreement.
If any part of this agreement is found invalid, the rest remains in effect.
