PLEASE READ THE ENTIRE AGREEMENT.YOU MAY PRINT THIS PAGE FOR YOUR RECORDS.THIS IS A LEGAL AGREEMENT BETWEEN YOU AND MICROPLANE®. (MICROPLANE.COM)BY SUBMITTING THE ONLINE APPLICATION, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.1. OverviewThis Agreement contains the complete terms and conditions that apply to you becoming an affiliate in Microplane USA's Affiliate Program. The purpose of this Agreement is to allow HTML linking between your web site and the Microplane web site. Please note that throughout this Agreement, "we," "us," and "our" refer to Microplane, and "you," "your," and "yours" refer to the affiliate.2. Cancellation: Either party may terminate this agreement at any time for any reason without cause, by submission of written notice.3. Collateral Details. The Advertiser shall provide the necessary content and briefing materials toenable the Influencer to perform the influencer marketing services. If the Influencer has obtainedemployees or agents (the "Influencer Personnel"), the Influencer shall be solely responsible for all costs associated with the Influencer Personnel.4. Affiliate Obligations:4.1 To begin the enrollment process, you will complete and submit the online application at the ShareASale.com server. We will evaluate your application and we may reject or approve your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our Program, including if it:4.1.1 Use excessive profanity or inappropriate language.4.1.2 Be overtly sexual, political, religious or defamatory.4.1.3 Show inappropriate use of tools (i.e. on body parts/ objects).4.1.4 Display unsafe kitchen practices.4.1.5 Refer to Microplane® as a tool rather than a brand.4.1.6 Use negative body language related to food (i.e. body shaming).4.1.7 Use words when referring to results like: shred, tear, rip (Use terms such as: gratings, results).4.1.8 Use of discriminatory language based on race, gender, religion, nationality, disability, sexual orientation, or age.4.1.9 Affiliate must live in the United States5. Compensation: Merchant.com uses a third party to handle all of the tracking and payment. The third party is the ShareASale.com affiliate network. Kindly review the network’s payment terms and conditions.6. Material disclosures and compliance with FTC Guidelines: When publishing posts/statuses about the Advertiser’s products or services, the Influencer must clearly disclose his/her “material connection” with the Advertiser, including the fact that the Influencer was given any consideration, was provided with certain experiences or is being paid for a particular service. The above disclosure should be clear and prominent and made in close proximity to any statements that the Influencer makes about the Advertiser or the Advertiser’s products or services. The Influencer’s statements should always reflect the Influencer’s honest and truthful opinions and actual experiences. The Influencer should only make factual statements about the Advertiser or the Advertiser's products which the Influencer knows for certain are true and can be verified.7. Independent Contractor: The Influencer is retained as an independent contractor of the Advertiser. The Influencer acknowledges and agrees that (i) The Influencer is solely responsible for the manner and form by which the Influencer performs under this Agreement, and (ii) The Influencer is a self-employed individual, who performs services similar to the services outlined in the attached Schedule of Services for various entities and individuals other than the Advertiser.
