This Agreement governs your participation in the affiliate program (the "Program") for the Awin platform ("Awin"). By participating in the Program, you agree to be bound by the terms and conditions of this Agreement.Program DescriptionThe Program allows you to earn commissions by promoting our products and services to your audience. We will provide you with promotional materials, including links, banners, and other creative assets, to help you promote our products and services.Commission StructureWe will pay you a commission of 10% of the net sale for each qualifying purchase made by customers referred by you. "Net sale" is defined as the sale price less taxes, shipping fees, and discounts.Tracking and PaymentShareASale will track all qualifying purchases made by customers referred by you for 30 days. We will pay your commission on a monthly basis through ShareASale. Payment will be made on the 20th of the following month.Prohibited ActivitiesYou agree not to engage in any of the following activities in connection with your participation in the Program:Using spam or other unsolicited email to promote our products and servicesPromoting our products and services on websites or platforms that contain illegal or objectionable contentEngaging in any activity that violates the ShareASale Terms of Use or this AgreementTerminationWe reserve the right to terminate your participation in the Program at any time for any reason, with or without cause. In the event of termination, any commissions earned but not yet paid will be forfeited.ModificationsWe may modify this Agreement at any time by posting a revised version on Awin. The modified Agreement will become effective upon posting. Your continued participation in the Program after the posting of the modified Agreement will constitute your acceptance of the modifications.Limitation of LiabilityWe will not be liable for any indirect, special, or consequential damages arising out of or in connection with this Agreement, even if we have been advised of the possibility of such damages.Governing LawThis Agreement will be governed by and construed in accordance with the laws of the state of Illinois, without giving effect to any principles of conflicts of law.Entire AgreementThis Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
