Voghion Affiliate Program Terms and Conditions
Please read this agreement carefully before registering and being an authorized affiliate of Voghion. By participating in this program you hereby accept these terms and conditions. These terms and conditions make up a legally binding agreement for your participation in the Voghion affiliate program.
§1 Enrollment
By filling out the signup form you will apply to become a Voghion affiliate and your participation in the program is solely for this purpose: to legally advertise the Voghion products and receive a commission on sales generated by the link on your site or the use of your promo code.
§2 Linking to Our App/Website
After your participation in the program, you may display graphic and text links both on your website and in emails that Voghion provides to you. The site may also be advertised "offline" in classified ads, magazines, and newspapers. This authorisation is non-exclusive and you are not our employee nor agent, and you must not purport to act on our behalf nor do anything that is not expressly authorised under this agreement.
§3 Voghion Responsibilities
Coded URL: Upon your acceptance, Voghion will provide you with a URL coded to specifically identify you which will allow you to create a link to the Voghion App/website. You may post this link in any location, as many times as you like subject to the remaining terms of this agreement regarding acceptable links.
Tracking: Voghion agrees to track the customers referred to Voghion via the link provided to you for that purpose. Voghion will pay you a commission for each such referral made in compliance with this agreement pursuant to the commission schedule.
§4 Affiliate Responsibilities
You will be solely responsible for your site, including its development, operation, and maintenance and all materials that appear on or within it.
Your participating website(s) must not:
* Infringe on our or any anyone else’s intellectual property, publicity, privacy or other rights.
* Violate any law, rule or regulation.
* Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials.
* Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.
* Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website.
§5 Keyword Bidding Policy
You are not allowed to bid on Voghion trademark names, renditions thereof and their derivatives. We police keyword bidding on the below terms regularly, and in order to remain in compliance with our terms of service, we'd like to remind you of the following restrictions on keyword bidding:
* You are prohibited from bidding on Voghion and any variations including misspellings, alternate spellings, alternate spacing, or any phrases that include these terms.
* You may not use our brand name or domain name, or any variation, similar terms or misspelling of our brand name, as the display domain in any search advertisement.
* You may not use our brand name or domain name, or any variation, similar terms or misspelling of our brand name in PPC ad copy without prior approval.
* You may not register any domain name that contains our brand name, misspellings of our brand name or variations of our brand name.
* You are prohibited from Direct Linking.
Failure to comply will result in a temporary suspension from Voghion Affiliate Program. Once you are placed on temporary suspension, you will be out of the Voghion Affiliate Program for 14 days and ineligible to receive any commissions on the sales you generate during this term. After the 14 day term, you will have the opportunity to opt back in to the Voghion Affiliate Program if you have complied with the above request. A second violationof this policy will result in permanent termination from our Affiliate Program.
We understand that these keywords may drive traffic to your site and are prepared to work with you to find alternative ways to maximize the partnership. We appreciate your understanding in this matter.
§6 Order Processing
We will process orders placed by customers who follow affiliate links from your site to the Voghion App/website. We reserve the right to reject orders that do not comply with any requirements of Voghion, as they may be updated from time to time. We will track Qualifying Purchases (defined in section 7) for reporting and commission accrual purposes and will make available to you reports summarizing those qualifying purchases.
§7 Remuneration
We will pay you commission on qualifying purchases. Subject to the exclusions set forth below, a “Qualifying Purchase” occurs when a customer places an order no later than 30 days following the customer’s initial click-through on your site and the product is shipped
to the customer.
Qualifying purchases exclude, and we will not pay commission on any of, the following:
* any purchase occurs after expiration of the cookie duration;
* any purchase that is not correctly tracked or reported because the links from your site to the Voghion App/website are not properly formatted;
* any purchase after termination of this agreement;
* any purchase that is canceled or returned.
A commission will be rewarded to you based on the amount of the order (product value). Voghion offers a variable commission rate. Voghion may also offer specific commission in the form of bonuses or other special offers.
§8 Term and Termination
This agreement will begin upon your your signup with the affiliate program and will end when terminated by either you or us. Either you or we may terminate this agreement at any time, with or without reason, by giving the other party written notice of termination. Upon termination of this agreement, you shall immediately cease using all Voghion links, displaying or otherwise maintaining any interest in the Voghion content.
§9 Changes to these Terms and Conditions
Voghion reserves the right to change the terms and conditions of this Agreement at any time, with or without notice. You will be informed of the change on commission structure, cookie duration, PPC policy or any other important update on the Voghion affiliate program by e-mail. If a new clause is not acceptable to you, you have the option of terminating the partnership. Your continued participation in the Voghion affiliate program after the changes have become effective will be deemed acceptance of the changes.
§10 Severability Clause
Should individual provisions of these terms and conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions.
