1. Introduction: This Program Agreement (the "Manage Affiliates Agreement") sets forth the terms and conditions under which you may participate in the All Moringa Affiliate Program (the "ShareASale"). By participating in the Program, you agree to be bound by the terms and conditions of this Agreement.
2. Eligibility: To be eligible to participate in the Program, you must be a ShareASale affiliate and comply with ShareASale's Terms of Use. You must also be 18 years of age or older and have the ability to enter into legally binding contracts.
3. Commission: As an affiliate of All Moringa, you will earn a commission of 12% on every sale made through your unique affiliate link. Commissions will be paid on a monthly basis, subject to the terms and conditions of ShareASale.
4. Promotional Materials: All Moringa will provide you with various promotional materials, including banners, links, and product descriptions. You may use these materials to promote All Moringa products and services, subject to the terms and conditions of this Agreement.
5. Restrictions: You may not engage in the following activities in connection with the Program:
- Spamming, including but not limited to, unsolicited email or any other form of mass messaging
- Misrepresentation of All Moringa products or services
- Use of All Moringa's trademark or logos without prior written permission from All Moringa
- Engaging in illegal activities or promoting illegal products or services
6. Termination: Either party may terminate this Agreement at any time, for any reason, upon written notice to the other party. Upon termination, you will no longer be eligible to receive commissions from All Moringa and must immediately remove all All Moringa promotional materials from your website or other marketing materials.
7. Limitation of Liability: All Moringa will not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with this Agreement.
8. Dispute Resolution: Any disputes arising from or in connection with this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
9. Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of Califonia, without giving effect to any principles of conflicts of law.
10. Modification: All Moringa reserves the right to modify this Agreement at any time, in its sole discretion. If any modification is made, All Moringa will post the updated Agreement on its website and notify you by email. Your continued participation in the Program after any modification constitutes your acceptance of the modified Agreement.
11. Assignment: You may not assign this Agreement, in whole or in part, without the prior written consent of All Moringa. Any attempted assignment without such consent will be null and void.
12. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter of this Agreement.
