MARKETING SERVICES AGREEMENT
The Program. Marketer will provide general marketing of Steadily’s landlord insurance services to Marketer’s customers who may have need of such services (“Customers”). Marketer will not engage in any activities for which insurance licensing may be required, including but not limited to providing advice, counseling or assistance to Customers with respect to insurance services generally or any particular insurance service for which they have applied or may apply with Steadily. In no event will Marketer make any insurance decision with respect to, or approve or reject, any insurance product or service or any insurance applicant. Steadily will have complete responsibility for the application for and delivery of any insurance products or services.
Marketing Fees. In exchange for the Marketer’s performance of the administrative and marketing activities outlined below, Steadily agrees to pay Marketer $30 per referred lead, and $250 for each referred brand ambassador.
Marketer will receive credit when these criteria are met:
A prospective client requests an insurance proposal through an approved referral method.
An influencer / brand ambassador referred by the marketer proceeds to sign a marketing services agreement, and refers a minimum of one lead, or posts a minimum of one piece of content under the agreement.
The Marketer may provide some or all of the following administrative and marketing services:
Promotion of other party’s products/services on each party’s website through hyper-links, action buttons, advertisements or other graphical or textual material
Assist in the design of Steadily joint marketing efforts and materials and meet with Steadily to review and discuss ways to improve effectiveness
Public statements about the interoperability of, or other relationship between, the parties’ products and services and collaboration activities and public statements
Endorsement and introduction of each party to other party’s customers, sales agents and representatives or joint attendance and distribution of materials at trade shows, conventions, conferences, and other events agreed by the parties
Relationship. The relationship between the parties shall be that of independent contractors. Either party may terminate this agreement without cause by providing written notice to the other party. Should a party violate this agreement, an applicable law, or a regulation, the offending party will indemnify, defend and hold harmless the other party against all claims which may result from the violation.
