Cloudstyle Affiliate Program AgreementFor Awin Affiliate Network

Please read this Cloudstyle Affiliate Program Agreement (“Agreement”) carefully before submitting your application to participate in the Cloudstyle Affiliate Program (“Program”) through Awin. If you do not accept all of the terms and conditions of this Agreement, please do not submit an application.

By submitting an application to join the Program, you are deemed to have accepted and agreed to be bound by this Agreement.

As used in this Agreement, “Cloudstyle,” “we,” “us,” and “our” refer to Cloudstyle. “Affiliate,” “Publisher,” “you,” and “your” refer to the applicant submitting an application and participating in the Program through Awin.

1. Program Enrollment

The Cloudstyle Affiliate Program is managed through the Awin affiliate network (“Awin”).

This Agreement becomes effective upon approval of your application by Cloudstyle and/or Awin, and upon your participation in the Program.

Cloudstyle and Awin reserve the right to approve, reject, suspend, or terminate any affiliate application or account at their sole discretion, with or without cause.

Your application may be rejected if your website, social media account, platform, email list, or traffic source includes or promotes any content that is unlawful, harmful, threatening, defamatory, obscene, harassing, discriminatory, misleading, fraudulent, infringing, or otherwise objectionable.

Affiliates must provide accurate and complete information during application and must keep their Awin account information, promotional methods, websites, and contact details up to date.

2. Participation in the Program

To participate in the Program, you must be registered as an approved publisher on Awin and approved to promote Cloudstyle.

Once approved, you may promote Cloudstyle products using approved tracking links, banners, text links, product feeds, and other marketing materials made available through Awin or provided directly by Cloudstyle.

You may only promote Cloudstyle through approved websites, social media accounts, apps, email campaigns, content platforms, or other traffic sources disclosed in your Awin account or approved by Cloudstyle.

Cloudstyle reserves the right to request information regarding your traffic sources at any time.

3. Affiliate Marketing Activities

All images, product names, product descriptions, trademarks, slogans, logos, designs, banners, feeds, links, and other promotional materials provided by Cloudstyle or made available through Awin are the proprietary property of Cloudstyle or its licensors.

You may use Cloudstyle materials solely for the purpose of promoting Cloudstyle products under this Program.

You may not copy, modify, misuse, misrepresent, or incorporate Cloudstyle trademarks, product names, logos, or brand assets into your own domain name, social media handle, paid ad account, app name, or business identity without prior written permission.

4. Paid Search and Online Advertising

Affiliates are not permitted to bid on Cloudstyle branded trademark terms or variations, misspellings, or derivatives thereof in any paid search advertising campaign.

Restricted terms include but are not limited to:

Affiliates may not use Cloudstyle trademarks in paid ad titles, ad copy, display URLs, destination URLs, or ad extensions without prior written approval.

Affiliates may not direct paid search traffic directly to Cloudstyle’s website, Amazon store, Shopify store, or any Cloudstyle-owned sales channel through an affiliate tracking link. Paid advertising traffic must first be directed to the Affiliate’s own approved website, landing page, or content platform.

Affiliates may not create ads that imply they are Cloudstyle, Cloudstyle’s official store, or an authorized Cloudstyle corporate representative.

5. Organic Search and Content Marketing

Affiliates may use Cloudstyle brand terms in organic content only in a fair, accurate, non-misleading, and non-confusing manner.

Acceptable organic content may include product reviews, shopping guides, styling guides, comparison articles, gift guides, video reviews, blog posts, social posts, or editorial recommendations.

Affiliates must clearly identify themselves as an affiliate where required by law, platform policy, or industry standard.

Examples of acceptable disclosure language include:

Affiliates may not publish false, misleading, exaggerated, or unverified claims regarding Cloudstyle products, pricing, shipping, discounts, quality, availability, or customer service.

6. Email Marketing

Affiliates may not send emails, newsletters, SMS messages, push notifications, or other direct marketing communications promoting Cloudstyle without Cloudstyle’s prior written approval.

If approval is granted, the Affiliate must comply with all applicable laws, including but not limited to the CAN-SPAM Act, GDPR, UK GDPR, PECR, CCPA/CPRA, and any other applicable privacy or electronic marketing laws.

All approved email campaigns must:

Affiliates may not send unsolicited commercial emails or use purchased, scraped, rented, or unauthorized email lists.

7. Coupon, Cashback, Loyalty, and Deal Sites

Coupon, cashback, loyalty, reward, and deal websites may participate only if approved by Cloudstyle through Awin.

Affiliates may not publish, promote, or distribute unauthorized coupon codes, fake discount codes, expired offers, or misleading discount claims.

Affiliates may only promote coupon codes or offers that are:

Affiliates may not use misleading phrases such as “exclusive discount,” “official Cloudstyle coupon,” or “verified Cloudstyle promo code” unless the offer has been specifically approved by Cloudstyle.

Cloudstyle reserves the right to reverse commissions generated through unauthorized or misleading coupon activity.

8. Social Media and Influencer Promotion

Affiliates may promote Cloudstyle on approved social media platforms, including but not limited to Instagram, TikTok, YouTube, Facebook, Pinterest, blogs, and other content platforms.

All social media promotions must comply with applicable advertising disclosure rules, including FTC endorsement guidelines.

Affiliates must clearly disclose the affiliate relationship in posts, videos, livestreams, captions, descriptions, and other promotional content where required.

Examples of acceptable disclosure include:

Affiliates may not use Cloudstyle brand assets in a way that implies official brand ownership, employment, endorsement, or partnership beyond participation in the Affiliate Program.

9. Prohibited Activities

Affiliates are strictly prohibited from engaging in the following activities:

Violation of these rules may result in suspension, termination, reversal of commissions, withholding of payments, and removal from the Program.

10. Links, Tracking, and Creative Materials

Cloudstyle may make available to Affiliates through Awin a variety of links, banners, product feeds, text links, images, and other promotional materials.

Affiliates must use approved Awin tracking links to ensure accurate tracking and commission attribution.

Affiliates may not modify Awin tracking links, tracking parameters, banner codes, or creative tags in a way that interferes with tracking, reporting, or attribution.

Cloudstyle may update, replace, or remove creative materials at any time. Upon request, Affiliates must promptly remove outdated or unauthorized creative materials.

Cloudstyle and Awin may monitor Affiliate websites, accounts, and promotional activity to ensure compliance with this Agreement.

11. Affiliate Obligations

Affiliates agree to:

Affiliates are solely responsible for the development, operation, maintenance, and content of their websites, social media accounts, email lists, and promotional channels.

12. Product Information, Pricing, and Availability

Cloudstyle is responsible for product pricing, product availability, fulfillment, shipping, returns, customer service, and order processing.

Affiliates may not make unauthorized claims regarding:

Prices and availability may change at any time. Affiliates should not publish specific prices unless such prices are automatically updated through an approved Awin product feed or specifically authorized by Cloudstyle.

Customers who purchase Cloudstyle products remain customers of Cloudstyle. Cloudstyle retains all rights to customer data collected through its website, Shopify store, Amazon store, or other sales channels.

13. Commission and Payment

Commission rates, cookie duration, attribution rules, and payment terms are displayed within the Cloudstyle Program details on Awin and may be changed by Cloudstyle at any time.

Awin is responsible for tracking eligible transactions and processing affiliate payments according to Awin’s publisher terms and payment schedule.

Cloudstyle is not responsible for direct payment to Affiliates outside the Awin platform unless otherwise agreed in writing.

Commissions may be declined, reversed, or adjusted for reasons including but not limited to:

No commission shall be earned after termination of participation in the Program.

14. Use of Cloudstyle Trademarks and Brand Assets

Cloudstyle grants approved Affiliates a limited, non-exclusive, non-transferable, revocable license to use approved Cloudstyle trademarks, logos, banners, product images, and marketing materials solely for the purpose of promoting Cloudstyle products through the Program.

Affiliates may not:

All goodwill arising from use of Cloudstyle trademarks shall inure exclusively to the benefit of Cloudstyle.

Cloudstyle may revoke permission to use any brand materials at any time.

15. Publicity and References

Affiliates may not issue press releases, public announcements, or formal statements regarding their participation in the Program without Cloudstyle’s prior written approval.

Cloudstyle may reference approved Affiliates, publisher names, logos, content, testimonials, or case studies in marketing materials, reports, or presentations, unless prohibited by written agreement.

16. Compliance With Laws and Platform Policies

Affiliates must comply with all applicable laws, regulations, advertising standards, platform policies, and data privacy requirements, including where applicable:

Affiliates are responsible for ensuring their promotional activities are legally compliant in every jurisdiction where they operate.

17. Confidentiality

Affiliates may receive confidential information relating to Cloudstyle, including but not limited to commission rates, performance data, product launch plans, marketing strategies, customer data, pricing information, and business information.

Affiliates must keep all confidential information strictly confidential and may not use such information for any purpose other than participation in the Program.

This obligation survives termination of this Agreement.

18. Term and Termination

This Agreement begins when your application is approved through Awin and continues as long as you participate in the Program.

Either Cloudstyle or the Affiliate may terminate participation in the Program at any time, with or without cause.

Cloudstyle may immediately suspend or terminate an Affiliate for violation of this Agreement, Awin terms, applicable law, or any activity deemed harmful to Cloudstyle.

Upon termination, the Affiliate must immediately:

Commissions earned before termination may be paid only if the related transactions are valid, completed, not returned, not cancelled, and not otherwise subject to reversal.

Cloudstyle may withhold final commission approval for a reasonable period to investigate fraud, returns, cancellations, or policy violations.

19. Program Modification

Cloudstyle may modify this Agreement, commission rates, cookie duration, promotional rules, restricted keywords, creative materials, or any other Program terms at any time.

Notice of material changes may be provided through Awin, email, or other reasonable means.

Continued participation in the Program after such changes constitutes acceptance of the updated terms.

If you do not agree to the updated terms, you must immediately stop participating in the Program and remove all Cloudstyle links and materials.

20. Independent Contractor Relationship

The relationship between Cloudstyle and the Affiliate is that of independent contractors.

Nothing in this Agreement creates any partnership, joint venture, agency, franchise, employment, or sales representative relationship.

Affiliates have no authority to make or accept offers, representations, warranties, guarantees, or commitments on behalf of Cloudstyle.

21. Representations and Warranties

Each party represents that it has the authority to enter into this Agreement.

Affiliate represents and warrants that:

Except as expressly stated in this Agreement, Cloudstyle makes no warranties regarding the Program, products, website, tracking, commission earnings, conversion rates, or uninterrupted operation.

22. Limitation of Liability

Cloudstyle shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to this Agreement or participation in the Program.

Cloudstyle does not guarantee that participation in the Program will result in commissions, sales, traffic, rankings, or business success.

Affiliate’s sole remedy with respect to dissatisfaction with the Program is to terminate participation.

23. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Cloudstyle, its affiliates, directors, officers, employees, agents, representatives, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of:

24. Governing Law and Venue

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Any action or proceeding arising out of or relating to this Agreement shall be brought in the federal or state courts located in California, and Affiliate irrevocably consents to the jurisdiction and venue of such courts.

Notices to Affiliate may be sent through Awin, email, postal mail, or other contact information provided in the Affiliate’s Awin account.

26. Entire Agreement

This Agreement, together with any applicable Awin terms and Cloudstyle Program terms displayed within Awin, constitutes the entire agreement between Cloudstyle and Affiliate regarding participation in the Program.

This Agreement supersedes all prior or contemporaneous communications, understandings, or agreements relating to the Program.

In the event of a conflict between this Agreement and Awin’s general publisher terms, Awin’s platform terms shall govern only with respect to Awin platform operations, tracking, and payment processing. Cloudstyle’s Program-specific rules shall govern Affiliate’s promotion of Cloudstyle.

27. Acknowledgment and Acceptance

By submitting an application to join the Cloudstyle Affiliate Program through Awin, you certify that:

By applying to the Cloudstyle Affiliate Program on Awin, you agree to comply with Cloudstyle’s Program terms, Awin’s publisher terms, and all applicable laws and advertising guidelines.

Affiliates may promote Cloudstyle using approved Awin tracking links, banners, product feeds, and creatives. Affiliates must disclose affiliate relationships clearly and comply with the FTC, CAN-SPAM, GDPR, UK GDPR, PECR, CCPA/CPRA, and applicable platform rules.

Prohibited activities include trademark bidding on Cloudstyle brand terms, direct linking from paid ads to Cloudstyle, unauthorized coupon promotion, fake or misleading discount claims, cookie stuffing, forced clicks, adware, spyware, malware, bot traffic, misleading redirects, unsolicited email/SMS, impersonation of Cloudstyle, and use of Cloudstyle trademarks in domains, ad copy, display URLs, or social handles without written approval.

Affiliates may not publish unauthorized pricing, discounts, claims, or product availability information. Coupon, cashback, loyalty, and deal sites must be specifically approved by Cloudstyle. Commissions may be reversed for canceled orders, returned orders, fraudulent transactions, self-referrals, unauthorized coupon use, trademark bidding, or violation of Program terms.

Cloudstyle may approve, reject, suspend, or terminate affiliates at its sole discretion. Continued participation in the Program constitutes acceptance of any updated terms.
