This agreement ("Agreement") is entered into by and between [Your Company Name], ("Merchant"), and the Affiliate ("Affiliate").
1. Program Description:
Merchant operates an affiliate program through ShareASale.com ("Program"). The Program allows Affiliates to earn commissions by promoting and selling products available on shop.shesgotleggz.com ("Website").
2. Affiliate Obligations:
2.1 Affiliate agrees to comply with all terms and conditions outlined in this Agreement.
2.2 Affiliate shall only promote Merchant's products through approved channels and methods.
2.3 Affiliate shall not engage in any illegal, deceptive, or unethical marketing practices.
2.4 Affiliate shall not use any unauthorized means to generate clicks or sales, including but not limited to spamming, cookie stuffing, or incentivized traffic.
2.5 Affiliate shall not bid on Merchant's trademarked terms or variations thereof in pay-per-click advertising campaigns, currently restricted on "She's Got Leggz" and "She's Got Leggz Leggings".
2.6 Affiliate shall not use Merchant's intellectual property, including trademarks, logos, or copyrighted materials, without prior consent.
3. Commission Structure:
Merchant agrees to pay Affiliate a commission on all qualified sales generated through Affiliate's unique tracking links. Commission rates and payment terms are outlined in the ShareASale dashboard.
4. Termination:
Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
5. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Ontario, without regard to its conflict of law principles.
6. Miscellaneous:
6.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
6.2 Any modifications to this Agreement must be made in writing and signed by both parties.
6.3 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
7. ShareASale Terms of Use:
Affiliate acknowledges and agrees to abide by the ShareASale Terms of Use in addition to the terms outlined in this Agreement.
