**Affiliate Agreement**
This Affiliate Agreement (the "Agreement") is entered into by and between BelkyMood LLC (the "Company") and the undersigned affiliate (the "Affiliate"). By participating in the Company's affiliate program, the Affiliate agrees to the terms and conditions outlined below.
**1. Definitions**
1.1 **Company**: Refers to BelkyMood LLC, the merchant offering the affiliate program.
1.2 **Affiliate**: Refers to the party entering into this Agreement, promoting the Company's products and services in exchange for commissions.
**2. Enrollment in the Affiliate Program**
2.1 **Application**: To become an Affiliate, the applicant must complete the Company's affiliate application, which may include providing personal and contact information.
2.2 **Approval**: The Company reserves the right to approve or reject affiliate applications at its discretion. Approval may be based on factors such as the suitability of the applicant's marketing methods and content.
**3. Commissions**
3.1 **Commission Structure**: Commissions are earned by the Affiliate based on the sales referred through their unique tracking links or codes. The specific commission structure and rates are detailed in the Affiliate Dashboard or Agreement Schedule.
3.2 **Payment**: Commissions will be paid to the Affiliate according to the payment schedule outlined in the Affiliate Dashboard or Agreement Schedule. The Company may establish a minimum commission threshold for payments.
3.3 **Refunds and Chargebacks**: In the event of customer refunds or chargebacks related to sales referred by the Affiliate, the Company may adjust or deduct the corresponding commission amount from the Affiliate's account balance.
**4. Promotion and Marketing**
4.1 **Compliance**: The Affiliate agrees to promote the Company's products and services in a manner that complies with all applicable laws, regulations, and industry standards, including but not limited to those related to advertising, privacy, and consumer protection.
4.2 **Ethical Conduct**: The Affiliate agrees to engage in ethical marketing practices and to refrain from any deceptive, fraudulent, or unethical activities.
**5. Termination**
5.1 **Termination by Either Party**: Either party may terminate this Agreement with or without cause by providing written notice to the other party. Termination will be effective upon receipt of the notice.
5.2 **Termination for Cause**: The Company reserves the right to terminate this Agreement immediately if the Affiliate violates any terms of this Agreement or engages in conduct that the Company deems harmful to its reputation or interests.
**6. Intellectual Property**
6.1 **Use of Company's Materials**: The Affiliate may be provided with promotional materials, banners, and content by the Company. The Affiliate is granted a non-exclusive, revocable, and non-transferable license to use these materials solely for the purpose of promoting the Company's products and services.
**7. Confidentiality**
7.1 **Confidential Information**: The Affiliate agrees to keep confidential any proprietary or non-public information received from the Company, including but not limited to sales data, marketing strategies, and customer information.
**8. Amendments and Updates**
8.1 **Amendments**: The Company reserves the right to update or amend this Agreement at its discretion. The Affiliate will be provided with notice of any such changes.
**9. Entire Agreement**
9.1 **Entire Agreement**: This Agreement constitutes the entire understanding between the Company and the Affiliate regarding the subject matter herein and supersedes all prior agreements, whether written or oral.
By participating in the Company's affiliate program, the Affiliate acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Affiliate Agreement.
