Work World Affiliate Program Terms and ConditionsWelcome to Work World Affiliate Program. We are excited to partner with you!These Affiliate Terms and Conditions (the “Terms”) apply to your participation as an Affiliate Partner in the Affiliate Program of GCP WW HoldCo LLC (“Work World”) through the Share a Sale platform and the establishment of links from your site.By participating in Work World’s Affiliate Program, you are accepting these terms and conditions. These terms supplement any prior agreement with Share a Sale. To the extent that any of the terms or conditions set forth in these Terms conflict with those set forth in your agreement with Share a Sale, these Terms shall govern.Unsuitable SitesMay include but are not limited to those that:Contain or promote any materials that, in Work World’s sole judgment, are sexually explicit, pornographic in nature, promote violence, illegal activities, hate, discrimination or any other content not in alignment with Work World’s valuesMisrepresent themselves as a Work World website by using the “look and feel” of or text from our site;Include “Work World” or variations or misspellings thereof in their domain names;Otherwise violate intellectual property rights of Work World;Do not clearly state an online privacy policy to their visitors; orRequire downloads and/or unknowingly download software to visitors’ computers.Our acceptance criteria are subject to change at any time without prior notice.OffersWork World regularly posts offers on the Share a Sale platform. Offers from publishers must use a “Qualifying Link” - meaning a link from your site to our site using one of the URLs or graphic links specified in the offer and provided by Work World (through Share a Sale). The Qualifying Link must be the last link to our site the Customer uses before purchasing a product on our site.Work World will communicate offers and banner creative through Share a Sale through platform newsletters and direct publisher outreach.Should there be any discrepancy or for any reason, upon request by Work World, you agree to promptly change any links or banner ads being used in connection with an Offer. Publishers are only allowed to use Work World promotion codes that are communicated specifically to you via Share a Sale or direct communication from Work World. Other codes that are not provided directly by Work World are not commissionable and may result in termination from the Work World affiliate program.Search-Related ActivityAll Affiliates must follow guidelines for each of the separate programs listed. Affiliates are prohibited for bidding on any terms unless agreed upon directly with Work World. Failure to comply with these terms may result in termination from the program. This includes, but is not limited to:Search Campaigns: Non-compete SEM Bidding KeywordsSearch Campaigns: Publisher result may not outrank Work World’sAd copy may not include any indication of “official”Affiliates may never use www.workworld.com, www.whistleworkwear.com or www.willysdiscountworkwear.com as the display URL.Other ProhibitionsAffiliates may not modify any Work World sites in any way. Any attempts to do so will result in termination from the Work World Affiliate Program.Affiliates may not alter their sites to mimic any Work World sites. Affiliates presenting their sites as “official” Work World sites will be terminated from the Work World Affiliate Program.Affiliates may not “scrape” or “spider” any Work World sites for content (such as images, logos or text).CommissionCommission can only be paid to partners when their shoppers click through to our site using a Qualifying Link and have enabled cookies on their browser and only for orders placed through such Qualifying Link. Work Worlds reserve the right to reject orders that do not comply with any requirements that Work World periodically may establish. Commission will only be paid on orders for which payment has been made by the customer and which are not canceled or returned. Affiliates may not purchase products through any Qualifying Link on Affiliate’s site for Affiliate’s own use, for resale or commercial use of any kind nor shall Affiliate offer any person or entity any consideration or incentive for using a Qualifying Link on Affiliate’s site. If you violate the foregoing prohibitions, Work World may (without limiting any other rights or remedies which may be available) withhold any commission which would otherwise be due with respect to such violating purchases.Work World currently pays members of our Affiliate Network a base rate of 3%. This structure may change at Work World’s discretion without notice. Commission structures for specific partners may be different and are determined on a case-by-case basis. Commission will be paid not less than monthly on such date(s) as Work World determines. Commission caps may be implemented on bulk order purchases.Agreement ComplianceBy joining and participating in Work World’s Affiliate program, you represent and warrant that you have read and will comply with these terms and conditions.Work World has the right in our sole and absolute discretion to monitor your site regularly to determine if you are in compliance with these Terms, and you agree to provide us with unrestricted access to your site for such purpose.To permit accurate tracking, reporting and fee accrual, you must ensure that the links between your site and our site are properly formatted. Work World is not responsible for improperly formatted links. Work World is unable to track or provide credit for sales from customers with browsers that do not have cookies enabled. You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. You will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.Federal Trade Commission (“FTC”)You represent and warrant that you shall comply with the FTC’s Endorsement Guidelines, including, but not limited to, disclosing affiliate status.Term and TerminationYour participation in the program may be terminated at any time by you or Work World, with or without advance notice. If an Affiliate is found to be in violation with any of these Terms, the Affiliate may be terminated from the Program immediately.Upon termination by Share a Sale or Work World, you will immediately cease use of, and remove from your site, all links to our site and all Work World-related content.ConfidentialityExcept as otherwise provided in these Terms or with our prior written consent, you agree that all information including, without limitation, these Terms Agreement, our business and financial information, our customer lists, and our pricing and sales information, shall remain strictly confidential and shall not be utilized, directly or indirectly, by you for your own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than you or your affiliates.Limitation of LiabilityWork World will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Work World Affiliate Program, even if Work World has been advised of the possibility of such damages. Further, Work World’s aggregate liability arising with respect to this Agreement and the Work World Affiliate Program will not exceed the total referral fees paid or payable to you under this Agreement for a period of time not to exceed six (6) months.DisclaimerWork World makes no express or implied warranties with respect to the Work World Affiliate Program or any products sold through the Work World Affiliate Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and Work World will not be liable for the consequences of any interruptions or errors.Governing LawThis Agreement will be governed by the laws of the United States and the state of Washington, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Seattle, Washington, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Work World’s failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of Work World’s right to subsequently enforce such provision or any other provision of this Agreement.
