1. Enrollment
To apply to the Affiliate Program, you must submit a complete program application. We reserve the right to approve or reject any application at our sole discretion.
2. Affiliate Responsibilities
Compliance: Affiliates must comply with all applicable laws, including those governing marketing, privacy, and advertising disclosures (e.g., FTC guidelines on endorsements).
Representation: Affiliates may not misrepresent our products or make false claims.
Brand Use: Affiliates may only use logos, trademarks, and other creative assets provided by us or approved in writing.
Prohibited Conduct: Affiliates may not:
Use spam, unsolicited emails, or misleading links.
Bid on our branded keywords in paid search without permission.
Use cookie stuffing, adware, or similar methods.
3. Commissions
Eligibility: Affiliates will earn a commission on qualifying purchases made by customers who arrive via tracked affiliate links.
Rate: The commission rate will be outlined in your affiliate account dashboard.
Payment: Commissions are paid based on Awin's standards.
Refunds/Chargebacks: If a sale is refunded, canceled, or charged back, the related commission will be deducted from future payments.
4. Term & Termination
Term: These terms begin upon acceptance into the program and continue until terminated by either party.
Termination: Either party may terminate at any time, with or without cause, by providing written notice.
5. Intellectual Property
We retain all rights, title, and interest in our trademarks, trade names, logos, and products. Affiliates are granted a limited, revocable, non-exclusive license to use these solely for the purpose of promoting our products.
6. Relationship of Parties
You are an independent contractor and not an employee, partner, or agent of the Company. Nothing in these terms shall be construed to create a partnership, joint venture, or employment relationship.
7. Limitation of Liability
We will not be liable for indirect, incidental, special, or consequential damages (including lost profits) arising in connection with the program. Our aggregate liability shall not exceed the total commissions paid to you under this agreement.
8. Modifications
We may update or modify these terms at any time. Continued participation in the program after changes constitutes your acceptance of the revised terms.
9. Governing Law
This agreement shall be governed by the laws of Delaware, without regard to conflict of law principles.
