Affiliate Agreement
Please read the entire agreement carefully.
This is a legal agreement between you and Intelligentsia Coffee, Inc. ("Intelligentsia Coffee"). By submitting the online application, you confirm that you have read and understood the terms and conditions of this agreement and agree to be legally bound by them.
1. Overview
This agreement outlines the terms for your participation in the Intelligentsia Coffee Affiliate Program. It governs how you may use HTML links between your website and Intelligentsia’s website. Throughout the agreement, “we,” “us,” and “our” refer to Intelligentsia Coffee, and “you,” “your,” and “yours” refer to the affiliate.
2. Affiliate Obligations
2.1 To join, complete and submit an application through Awin. We reserve the right to reject or cancel applications at our discretion, particularly if your site:
Promotes sexually explicit content, violence, discrimination, or illegal activity
Infringes intellectual property
Includes “Intelligentsia” in its domain name
Contains objectionable or misleading content
Uses software that may divert affiliate commissions
Imitates or impersonates our site
2.2 Once accepted, you’ll access the Affiliate Account Manager, where you’ll find program details, links, creatives, and tracking codes. You must use only the HTML links we provide.
2.3 We reserve the right to review your use of links and request changes as needed.
2.4 You’re responsible for maintaining and updating your website. We may monitor and suggest improvements to enhance performance.
2.5 You must comply with all applicable laws and secure permission for any third-party content you use.
3. Our Rights and Responsibilities
3.1 We may monitor your site for compliance and request changes. Failure to comply may result in removal from the program.
3.2 We may terminate your participation immediately if we detect fraud or abuse. No commissions will be paid on fraudulent activity.
3.3 This agreement begins upon your acceptance and continues unless terminated.
4. Termination
Either party may terminate this agreement at any time with written notice. Breach of agreement will result in immediate termination.
5. Modifications
We may change terms at any time. You’ll be notified by email. Continued participation indicates your acceptance of those changes.
6. Payment
Payments and tracking are handled by Awin. Please refer to their terms for details.
7. Account Access
You’ll create a Awin password to access your affiliate account and view reports.
8. Promotion Restrictions
8.1 You may promote your own site but must not imply a joint effort with Intelligentsia. Spam, misleading ads, or identity concealment are prohibited.
8.2 Bidding on our trademarks in pay-per-click ads without redirecting to your own site is grounds for removal.
8.3 You may not use Parasiteware, shopping assistants, toolbars, or deceptive pop-ups to overwrite tracking or interfere with customer experience.
9. Licenses
9.1 We grant you a limited license to use our materials only in connection with authorized links.
9.2 You agree not to use our trademarks in a disparaging or misleading way.
10. Disclaimer
We make no warranties regarding our website or services. We are not responsible for errors or interruptions.
11. Warranties
You represent that:
This agreement is legally binding
You have the authority to enter it
You own or have rights to content you provide
12. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the commissions paid to you under this agreement.
13. Indemnification
You agree to indemnify Intelligentsia Coffee against claims related to intellectual property violations, misrepresentations, or your website content.
14. Confidentiality
Any confidential information shared during this agreement will remain proprietary and not be disclosed without written consent.
15. Miscellaneous
15.1 You are an independent contractor. This agreement does not create a partnership or employment relationship.
15.2 Neither party may assign this agreement without written consent, except in cases of business acquisition.
15.3 This agreement is governed by Illinois law.
15.4 Changes must be in writing and signed by both parties.
15.5 This is the full agreement and supersedes prior communications.

15.7 If any part of this agreement is invalid, the remainder remains in effect.
