Commission & Payout:Aced It Co will pay the Affiliate a 7% commission of sales generated. Payouts take place the 5th day of the next month. This means your payout includes commissions earned within that month. Returns will be reflected in payouts in the following month.PPC Compliance (Pay Per Cilck:Aced It Co disallows PPC, any and all brand bidding. Coupon Compliance:Aced It Co does not and will not work with coupon affiliates at this time. Non-Exclusive License/ Revocable:Notwithstanding anything to the contrary contained herein, the Company may terminate this Agreement with immediate effect at any time upon delivering written notice to the Affiliate (email being sufficient), in the event the Affiliate breaches this Agreement, etc.Compliance with Laws:The Affiliate will comply with all applicable laws, rules and regulations as well as the terms and conditions of each Platform. The Affiliate acknowledges that this includes guidance published by the Federal Trade Commission that requires the Affiliate to disclose its connection to Aced It Co and the fact that the Affiliate is being provided commission by Aced It Co in order to comply with applicable laws, rules, and regulations, and the terms and conditions of the Platform. Non-Disparagement:The Affiliate will reflect honest and truthful opinions about Aced It Co and its products, offerings, and services, the Affiliate will refrain from disparaging the company, its business, its affiliates, and its employees.Ownership of Intellectual Property:I. Non-Company Intellectual Property - Affiliate will be the sole and exclusive copyright owner of all non-Company Intellectual Property content created by Affiliate as part of the Agreement, provided that Affiliate hereby grants the Company a non-exclusive, irrevocable, perpetual, royalty-free, fully paid-up, worldwide license to copy, display, distribute, broadcast, publish, post, stream, create derivative works of or from, edit, sublicense, and otherwise use and exploit the content in any channel, social media platform or other medium now existing or hereinafter developed for any purpose. II. Company Intellectual Property - Except as otherwise provided herein, the Company hereby grants to Affiliate, a limited, non-exclusive, non-transferable license to use the Company’s intellectual property, including without limitation, any contemplated, pending, or registered trademarks and tradenames, (collectively, the “Company Intellectual Property”) solely in connection with performing services under the Agreement. Affiliate agrees that any use of Company Intellectual Property (i) will comply with the Company’s trademark guidelines, which may be provided by Company to Affiliate from time to time, and (ii) will solely inure to the benefit of Company. The Company Intellectual Property is proprietary and nothing in this Agreement constitutes the grant of a general license for their use. Affiliate does not acquire any right, title or interest in the Company Intellectual Property or the goodwill associated therewith. For the avoidance of doubt, the Affiliate agrees that the Content is Company Intellectual Property.
