This Affiliate Program Agreement (the “Agreement”) is a binding contract between Green Herbal Care (“Company”) and you, the business or individual entering into this Agreement (“Affiliate”). Collectively, “the Parties.”
By enrolling in the Green Herbal Care Affiliate Program (the “Program”), you agree to the following:
1. Enrollment
To participate, you must accept the Program terms through the Awin or ShareASale platform. By enrolling, you confirm that you are of legal age and authorized to enter this Agreement on behalf of yourself or your business.
2. Purpose
Green Herbal Care offers hemp-derived wellness products (CBD, HHC, mushroom supplements, and related goods). The Affiliate will promote these products and refer customers to the Company in exchange for commissions as outlined herein.
3. Referral Arrangement
A Successful Referral occurs when:
A new customer clicks your unique Affiliate Link provided by the Company,
The customer makes a qualifying purchase on Green Herbal Care’s website, and
The customer is not already an existing or previously referred customer.
4. Commission & Payments
Affiliate commissions are listed on the Awin/ShareASale program page.
Payments are managed by the respective platform (“Payment Provider”).
You must maintain an active and accurate account with the Payment Provider.
Payment disputes must be raised within 12 months of the transaction, after which payments are considered final.
5. Relationship of the Parties
You are an independent contractor, not an employee, partner, or agent of Green Herbal Care. You have no authority to bind the Company.
6. Term & Termination
This Agreement begins when you join the Program and continues until terminated.
Either Party may terminate with 30 days’ written notice.
The Company may terminate immediately for breach of this Agreement.
After termination, commissions will only be paid for valid referrals made before termination.
7. Confidentiality
Both Parties agree to keep confidential any non-public business, financial, or technical information shared during the course of this Agreement.
8. Affiliate Obligations & Restrictions
By joining, you agree to:
Promote Green Herbal Care ethically and legally.
Not engage in self-referrals, fraud, cookie stuffing, or misleading tactics.
Not use unauthorized ads, copy, or branding. All custom materials must be approved by the Company.
Not run paid ads bidding on restricted keywords (including “Green Herbal Care,” brand variations, coupons, or promos).
Not operate websites or content with adult, violent, discriminatory, or illegal content.
Clearly disclose affiliate relationships in compliance with FTC Endorsement Guidelines.
9. Social Media Restrictions
You may promote affiliate links on your own pages.
You may not post links on official Green Herbal Care social media pages.
You may not create accounts using Green Herbal Care’s trademarks or branding.
10. Intellectual Property
You may use approved banners, links, and content provided by the Company. Any other use of Green Herbal Care’s trademarks, logos, or content requires written permission. Unauthorized use may result in termination and legal action.
11. Limitation of Liability
Green Herbal Care will not be liable for indirect, incidental, or consequential damages, including lost profits. Maximum liability will not exceed the total commissions paid to Affiliate under this Agreement.
12. Disclaimer of Warranties
The Program is provided “as is.” Green Herbal Care makes no warranties regarding potential earnings, performance, or results.
13. Governing Law & Disputes
This Agreement is governed by the laws of [insert state, e.g., Texas or California].
Disputes will be resolved through binding arbitration under the American Arbitration Association.
No class actions are permitted; disputes must be handled individually.
14. Miscellaneous
Severability: If any provision is invalid, the rest remains enforceable.
Amendments: Green Herbal Care may update this Agreement with notice via Awin/ShareASale or email. Continued participation constitutes acceptance.
Assignment: Affiliates may not transfer rights without prior written consent.
By joining the Program, you confirm that you have read, understood, and agreed to these Terms and Conditions.
