Declaration of Purpose
Meze Audio company has issued this Policy as a formal written statement of its Policy that authorized affiliates (hereafter “Affiliate”) are expected to stand by in selling and advertising MEZE AUDIO brand products (hereafter “Product”) to retail customers via any and all forms of published advertising, media and internet-based advertising.
The purpose of this Policy is to protect the MEZE AUDIO brand in the marketplace, prevent dilution of the brand, consistently protect authorized Affiliates, promote a level playing field amongst Affiliates and to promote positive non-price driven competition among Affiliates.
Sales Price
This Policy should not be construed or interpreted as an imposition that an Affiliate is mandated to sell Product at Manufacturer's Suggested Retail Price (“MSRP”), but rather solely relates to the restraint on advertising of Meze Audio brand products to the general public and retail customers at a price below the published MSRP.
Affiliates are not permitted to advertise a MEZE AUDIO Product at a price below MSRP.
Actions that Constitute a Violation of this Policy
? It shall be a violation of this MSRP policy for an Affiliate to include in any advertising for a Meze Audio Product any additional discount, coupon, gift card, or incentive that translates into an immediate price reduction, where the cumulative effect would be to reduce the advertised price of the MEZE AUDIO Product below such Product’s MSRP.
Meze Audio-sponsored “manufacturer’s rebates” or other, similar Meze Audio-sponsored promotions shall be exempt from this provision.
? Each advertisement by an Affiliate of any MEZE AUDIO Product below currently issued MSRP will be a violation of this Policy.
? It shall be a violation of this MSRP policy for an Affiliate to advertise in general or specific terms that the Affiliate has “the lowest prices” or will “match or beat its competitors’ prices” or to use similar phrases or for the Affiliate to include in conjunction with any advertising any advertised price below MSRP.
? It shall be a violation of this MSRP policy for an Affiliate to advertise that a retail consumer may “call for price” or “email for price,” or similar terms or language.
In complying with this policy statement, Affiliate shall adhere to the general ethics, standards of fairness and fair dealing with fellow affiliates in promoting a fair competition based on customer service and Product knowledge.
Actions Which do not Constitute a Violation of this Policy
Any action which would normally constitute a violation of this Policy but which was pre-approved, in writing, by an authorized representative of the Meze Audio company.
MSRP Policy Violations
Failure to comply with this MSRP policy by any Authorized Affiliate for any product is considered a policy violation for all MEZE AUDIO brand products.
At its sole discretion, Meze Audio may deal with MSRP policy violations by taking steps to include but not limited to any or all of the following:
a. Reduction or revocation of discounts and other purchasing privileges or benefits across any or all of Meze Audio distributed Products of whatever type and description.
b. Refusal or cancellation of orders for any or all Products distributed by Meze Audio.
c. Revocation of Affiliate status as an Authorized Affiliate of Meze Audio company.
d. Revocation of Affiliate`s authorization to use Meze Audio brand trademarked/copyrighted images and/or text, including marketing material, product descriptions and any and all Meze Audio company information.
e. Termination of the Authorized Affiliate Agreement or similar agreement between Meze Audio company and Affiliate.
MSRP Policy Modifications
Meze Audio reserves the right at any time to modify this Policy in whole or in part, to designate promotional periods during which the terms of this policy change, or to designate periods of time during which this policy is not applicable.
Covered Products
All Products, including demo units, warrantied by the full Meze Audio warranty then in effect and with MSRP prices which are indicated on the Current Price List are covered under this Policy.
Continuing Obligations of Dealer
This MSRP Policy is a Unilateral Policy and does not constitute an agreement between Affiliate and MEZE AUDIO company.
Adherence to the terms of this Policy is not binding on Affiliates, but adherence to the terms of the Policy is a continuing obligation on part of Affiliate to remain an Authorized Affiliate of Meze Audio company.
